5. NOTICES

5.1 All notices, requests, consents and other communications required or permitted under this Update shall be in writing and shall be delivered to the parties at the addresses set forth below or at such other address as a party may designate by written notice to the other party in accordance with this Section.

6. GOVERNING LAW

6.1 This Update shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

7. ENTIRE AGREEMENT; SEVERABILITY
