RECITALS

1. ASSIGNMENT

1.1 Assignment. Assignor hereby irrevocably conveys, assigns and transfers to Assignee, its successors and assigns, all right, title and interest in and to the Patent Rights, including without limitation (a) United States Patent No(s). ; (b) all continuations, continuations-in-part, divisionals, provisionals, reissues, reexaminations and patent applications claiming priority thereto; (c) all foreign counterparts and extensions; and (d) the entire right to sue for, recover and retain damages and other remedies for past, present and future infringement thereof.

2. CONSIDERATION

2.1 Receipt. Assignor acknowledges receipt of the consideration described above and agrees that such consideration constitutes full and adequate consideration for the transfer of the Patent Rights.

3. REPRESENTATIONS AND WARRANTIES

3.1 Assignor represents and warrants to Assignee that: (a) Assignor is the sole and exclusive owner of the Patent Rights, free and clear of any liens, encumbrances, licenses or security interests except as expressly disclosed in writing to Assignee; (b) Assignor has full power and authority to enter into this Assignment and to assign the Patent Rights as provided herein; (c) to Assignor's knowledge, no third party has any claim of ownership of the Patent Rights; and (d) there are no pending actions, proceedings or claims challenging Assignor's ownership of the Patent Rights except as disclosed in writing to Assignee.

3.2 Survival. The representations and warranties in this Section shall survive the execution and delivery of this Assignment and shall be enforceable in accordance with their terms.

4. FURTHER ASSURANCES

Assignor agrees, at Assignee's expense where permitted by law, to execute and deliver to Assignee all further instruments, papers and documents and to take such other actions as Assignee may reasonably request to effectuate the transfer and vesting of the Patent Rights in Assignee, including, but not limited to, execution of recordable instruments for submission to the United States Patent and Trademark Office and other governmental entities.

5. INDEMNIFICATION

Assignor shall indemnify, defend and hold harmless Assignee from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Assignor's representations and warranties set forth in this Assignment or any claim by a third party alleging ownership or other rights in the Patent Rights existing prior to the Effective Date.

6. RECORDATION

The parties agree to cooperate in the prompt recordation of this Assignment and any ancillary instruments with the appropriate patent offices. Responsibility for payment of recordation fees shall be:

All notices, demands or communications required or permitted to be given under this Assignment shall be in writing and shall be deemed given when delivered personally, sent by certified or registered mail (postage prepaid), or delivered by nationally recognized overnight courier to the addresses set forth below or such other address as either party may designate by written notice to the other.

8. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Assignment shall be effective unless it is in writing and signed by both parties. The waiver by either party of any breach or default shall not constitute a waiver of any subsequent breach or default.

9. GOVERNING LAW

This Assignment shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

10. ENTIRE AGREEMENT

This Assignment constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties relating to the Patent Rights.

11. SEVERABILITY

If any provision of this Assignment is held to be invalid, illegal or unenforceable in any respect, such provision shall be severed and the remaining provisions shall continue in full force and effect to the greatest extent permitted by law.
