RECITALS

WHEREAS, Client seeks representation in connection with the evaluation, filing, prosecution and, if necessary, appeal of claims for veterans' benefits and related matters before adjudicatory bodies and administrative tribunals; and

WHEREAS, Representative is duly authorized and competent to assist and represent claimants in matters pertaining to veterans' benefits and is willing to represent Client on the terms set forth herein; and

WHEREAS, the parties desire to set forth the scope of authority, fee arrangement, duties and other terms governing the representation.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. APPOINTMENT AND AUTHORITY

Client hereby appoints Representative to act as Client's agent for the limited purpose of representing Client in connection with veterans' benefits claims, appeals, evidence development, and administrative proceedings. Representative is authorized to act reasonably necessary to pursue Client's claims, including preparing and filing claims, signing filings on Client's behalf when authorized by law, exchanging information with third parties, and receiving copies of records relevant to the representation.

2. SCOPE OF REPRESENTATION

3. FEES AND EXPENSES

The parties agree that Representative's compensation shall be as follows (select and complete as applicable). If multiple selections are made, the terms shall be interpreted in the order listed below.

Representative will be paid a contingency fee equal to % of past-due monetary benefits actually awarded to Client by reason of Representative's services. Contingency fee applies only to past-due benefits and not to ongoing monthly benefits.

Client shall be responsible for out-of-pocket costs reasonably incurred on Client's behalf, including but not limited to copying, postage, medical record retrieval fees, expert fees, and filing fees. 4. CLIENT REPRESENTATIONS AND DUTIES

Client represents that all information provided to Representative is true and complete to the best of Client's knowledge. Client agrees to cooperate fully, attend scheduled meetings and appointments, provide authorizations necessary for release of records, and promptly notify Representative of any change in contact information or circumstances material to a claim. Client authorizes Representative to obtain, review and reproduce medical and service records relevant to the representation.

5. CONFIDENTIALITY AND RECORDS

Representative will maintain the confidentiality of Client information consistent with applicable law and professional obligations. Client authorizes Representative to receive protected health information and other records necessary for representation. Representative may retain copies of Client files created in the course of representation; originals will be returned upon request unless prohibited by law or otherwise agreed.

6. TERMINATION

This Agreement may be terminated by either party upon written notice to the other. Termination will not affect Representative's right to compensation earned prior to termination nor Client's obligation to reimburse expenses incurred. Upon termination Representative will take reasonable steps to protect Client's interests, including providing Client with necessary files and allowing time for transfer of representation.

7. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by personal delivery, first-class mail, or email to the addresses set forth below. Notice is effective upon delivery or, if mailed, three business days after deposit in the mail.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state in which Representative's principal office is located, without regard to conflicts of law principles. Any dispute arising under this Agreement shall be resolved in the courts of that jurisdiction, subject to any mandatory administrative remedies required by applicable veterans' benefits statutes or regulations.

9. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior oral and written agreements. If any provision is determined invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. A waiver by either party of a breach shall not operate as a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11. REPRESENTATIVE CERTIFICATION

Representative certifies that to the best of Representative's knowledge, Representative is authorized to provide veterans' representation services and will comply with applicable professional and ethical rules governing the representation of claimants in veterans' benefits matters.
