3. RELIANCE; LIMITATIONS

The Certificate is issued solely for the benefit of Beneficiary and only insofar as expressly stated herein. Certifier's validation is limited to the identified matters and is based on documents and representations provided by Beneficiary. Certifier makes no independent investigation of facts beyond reasonable verification steps and does not warrant, guarantee, or insure title, tax consequences, solvency, or any other matters not expressly set forth in Section 2.

Certifier disclaims any duty of care to third parties who are not signatories to this Certificate. Any party seeking to rely on this Certificate must obtain Beneficiary's prior written consent and provide evidence of its entitlement to rely.

4. REPRESENTATIONS AND WARRANTIES

Certifier represents and warrants that: (a) it is duly authorized and qualified to issue the certifications contained herein; (b) the validations provided are true and correct to the best of Certifier's knowledge after reasonable inquiry; and (c) it will maintain contemporaneous records documenting the basis for the validation for a period of years.

Beneficiary represents and warrants that all documents and information provided to Certifier for the purposes of validation were true, complete, and not misleading as of the dates provided, and that Beneficiary has authority to request and accept the Certificate.

5. LIMITATION OF LIABILITY

Except in the case of willful misconduct or gross negligence, Certifier's liability arising from or related to this Certificate shall be limited to direct damages not to exceed . Under no circumstances shall Certifier be liable for consequential, incidental, punitive, or special damages.

6. RECORDS; CONFIDENTIALITY

Certifier shall retain copies of the Document and related work papers supporting the certification. Such records shall be treated as confidential and will not be disclosed except as required by law or as mutually agreed in writing by the parties.

7. NOTICES

All notices required or permitted under this Certificate shall be in writing and delivered to the addresses provided above by hand, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

8. AMENDMENT; WAIVER

This Certificate may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right, and no waiver shall be effective unless in writing and signed by the party granting the waiver.

9. GOVERNING LAW; VENUE

This Certificate shall be governed by and construed in accordance with the laws of the Jurisdiction: without regard to its conflicts of law principles. Any dispute arising under or in connection with this Certificate shall be subject to the exclusive jurisdiction of the courts located in the same jurisdiction.

10. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS
