RECITALS

WHEREAS, Owner is the lawful titled owner of the motor vehicle described below and holds title, registration, and all attendant rights, subject to any liens or encumbrances specifically disclosed herein; and

WHEREAS, Endorsee desires that Owner endorse the title or other legal instruments of the vehicle to permit specified transfers, registrations, filings, or encumbrances in favor of Endorsee or a third party identified by Endorsee; and

WHEREAS, the Parties wish to record the terms of that endorsement and their respective rights, duties and warranties in writing.

NOW THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Form, the following terms shall have the meanings set forth below: "Vehicle" means the motor vehicle described in Section 2; "Endorsement" means the execution on the title, assignment of interest, lien notation, release, or other instrument described in Section 3; "Effective Date" means the execution date entered above.

3. SCOPE OF ENDORSEMENT

Owner hereby grants and acknowledges the following endorsement authority, limited as set forth in this Section 3: Owner shall execute and deliver such endorsements, notations, assignments, lien instruments, releases, powers of attorney, affidavits, or other documents as are reasonably necessary to effectuate the transfer, registration, encumbrance, or release described in the endorsement description below, and to permit Endorsee or Endorsee's designee to register, title, or otherwise assert legal interests in the Vehicle to the extent permitted by applicable law.

The endorsement authority granted herein shall be exercised only in accordance with the terms of this Form and any applicable statutory requirements, and shall not authorize Owner to convey good title if doing so would violate a then-existing lien or encumbrance except as expressly permitted by the lienholder in writing.

4. REPRESENTATIONS AND WARRANTIES

Owner represents and warrants to Endorsee that, as of the Effective Date: (a) Owner is the lawful owner of the Vehicle and has the full right and authority to execute and deliver the Endorsement; (b) the Vehicle is free of all undisclosed liens, security interests or encumbrances other than those expressly listed below; and (c) there are no pending actions or proceedings that would impair Owner's ability to perform its obligations under this Form.

Endorsee represents and warrants to Owner that Endorsee has the authority to receive the Endorsement described herein and that acceptance of this Endorsement will not violate any agreement to which Endorsee is subject.

5. CONSIDERATION

The Parties acknowledge that the Endorsement is given for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged. If monetary consideration is paid, describe amount and terms below.

6. TITLE, LIENS AND COOPERATION

Owner agrees to cooperate with Endorsee and, at Endorsee's request and expense, to execute such documents and take such actions as are necessary to perfect, record, release, or otherwise evidence the Endorsement. If a third-party lienholder's consent is required, Owner shall use commercially reasonable efforts to obtain such consent but shall not be required to assume any obligations of payment or liability of the lienholder.

7. INDEMNITY

Each Party shall indemnify, defend, and hold harmless the other Party from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of that Party's breach of this Form, negligent acts or willful misconduct in connection with the performance of its obligations under this Form.

8. LIMITATION OF LIABILITY

Except for liabilities resulting from gross negligence, willful misconduct, or a breach of the representations set forth in Section 4, neither Party shall be liable to the other for consequential, special, or punitive damages arising from the performance or nonperformance of this Form.

9. NOTICES

All notices, requests, demands, and other communications required or permitted under this Form shall be in writing and shall be delivered to the address of the receiving Party specified below or to such other address as that Party designates by notice in accordance with this Section.

10. GOVERNING LAW; VENUE

This Form shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of law principles. The Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the county identified below for any dispute arising out of this Form.

11. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Form constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings relating to the endorsement of the Vehicle. This Form may be amended only by a written instrument signed by both Parties. If any provision of this Form is held invalid or unenforceable by a court of competent jurisdiction, the remainder of this Form shall remain in full force and effect.

12. WAIVER; COUNTERPARTS

No waiver of any provision of this Form shall be effective unless in writing and signed by the waiving Party. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means are binding.

13. MISCELLANEOUS

The Parties agree to execute and deliver such additional documents and to take such further actions as may be reasonably necessary to effectuate the purposes and intent of this Form. Headings are for convenience only and shall not affect interpretation.
