LEGAL VERIFICATION PACKAGE

This Legal Verification Package (the "Agreement") is entered into as of Effective Date: by and between Client Name: with principal address Client Address: ; and Verifier Name: with principal address Verifier Address: .

RECITALS

WHEREAS, Client requires certain verifications, attestations and documentary validation concerning individuals, records or transactions identified by Client for lawful business purposes; and

WHEREAS, Verifier represents that it has the expertise, systems and lawful authority to perform identity verification, background inquiries, document authentication and related verification services in accordance with applicable law and accepted industry standards; and

WHEREAS, Client desires to engage Verifier to perform the specified verification services and Verifier agrees to perform such services subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Verified Subject" means any natural person, entity, record or transaction that is the subject of a verification request submitted by Client. 1.2 "Verification Report" means the written or electronic report, certificate or record produced by Verifier setting forth the methods, sources and results of verification services performed.

2. SCOPE OF VERIFICATION SERVICES

2.1 Services. Verifier shall perform one or more of the verification services selected by Client below and such other services as mutually agreed in writing:

Verifier shall use reasonable procedures, which may include database checks, proprietary algorithms, public records searches, direct confirmations with third parties and copying and certification of documentary evidence. Verifier will document sources and methodology in each Verification Report.

3. DELIVERABLES; ACCEPTANCE

3.1 Deliverables. Verifier shall deliver a Verification Report for each Verified Subject within the timeframes set by the parties. The Verification Report shall include a summary of findings, the documents examined, the methods used, and any limitations or caveats.

3.2 Acceptance. Client shall have ten (10) business days following receipt to notify Verifier in writing of any material defects in the Verification Report. Absence of timely notice constitutes acceptance.

4. CLIENT OBLIGATIONS; CONSENT

4.1 Client shall provide accurate identifying information, documentation and any written consents required by law for the performance of verification services. Client warrants that it has obtained or will obtain all necessary consents from Verified Subjects.

4.2 Client Certification: By checking the box below and signing this Agreement, Client certifies under penalty of perjury that all information provided for verification is true and complete, and grants Verifier the right to obtain and use records and third-party information reasonably necessary to perform the services.

5. VERIFIER OBLIGATIONS; STANDARDS

5.1 Standard of Care. Verifier shall perform services with reasonable skill and care, consistent with industry practices for professional verification service providers. Verifier shall comply with applicable statutes, regulations and lawful process in conducting searches and handling personal data.

5.2 Documentation. Verifier shall retain copies of materials relied upon for verification for the retention period set forth below and shall make such materials available to Client upon reasonable request consistent with privacy obligations.

6. CONFIDENTIALITY AND DATA PROTECTION

6.1 Confidential Information. Each party shall maintain the confidentiality of non-public information disclosed by the other party and shall not disclose such information except as required by law or with prior written consent. Confidential information includes Verification Reports and underlying documents.

6.2 Data Handling. Verifier shall implement and maintain commercially reasonable administrative, technical and physical safeguards to protect personal data. Verifier shall promptly notify Client of any unauthorized access or data breach affecting Client data.

6.3 Retention. Documents and records used in verification shall be retained for retention_period months unless otherwise required by law. Client may request secure destruction of retained materials upon termination, subject to legal retention obligations.

7. REPRESENTATIONS AND WARRANTIES

7.1 Each party represents and warrants that it has full power and authority to enter into this Agreement, that the signatory is authorized to bind the party, and that its performance will not violate any applicable law.

7.2 Verifier warrants that Verification Reports shall be prepared in good faith using the methods disclosed and that Verifier will not fabricate records. Except as expressly provided in this Agreement, Verifier makes no other warranties, express or implied.

8. INDEMNIFICATION

8.1 Client shall indemnify, defend and hold harmless Verifier and its officers, directors and agents from and against any claims, liabilities, losses and expenses arising from Client's breach of representations, failure to obtain consents, or misuse of Verification Reports.

8.2 Verifier shall indemnify Client for third-party claims to the extent caused by Verifier's gross negligence or willful misconduct in performing verification services.

9. LIMITATION OF LIABILITY

9.1 EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR A PARTY'S INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY SHALL BE LIMITED TO THE TOTAL FEES PAID OR PAYABLE UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. FEES AND PAYMENT

11. TERM AND TERMINATION

11.1 Term. This Agreement commences on the Effective Date and continues until terminated by either party upon thirty (30) days' prior written notice, or immediately for material breach.

11.2 Effect of Termination. Upon termination, Client shall pay for all services performed through the effective date of termination. Provisions governing confidentiality, indemnification, limitation of liability and retention shall survive termination.

12. NOTICES

All notices shall be in writing and delivered to the addresses set forth in the opening paragraph or to such other address as a party designates by notice. Notices are effective upon personal delivery, confirmed electronic transmission, or three (3) days after deposit in certified mail.

13. AMENDMENTS; WAIVER; COUNTERPARTS

13.1 No amendment or waiver shall be effective unless in writing and signed by both parties. 13.2 This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties below.

14.2 Entire Agreement. This Agreement, including any exhibits or schedules expressly incorporated, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements.

14.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect and the invalid or unenforceable provision shall be reformed to the extent necessary to make it valid and enforceable.
