5. INDEMNIFICATION

Each party agrees to indemnify, defend, and hold harmless the other party and its Representatives from and against any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from a breach of any representation, warranty, or certification made in this Legal Verification Page or from the submission of false or forged Verification Documents.

6. CONFIDENTIALITY

All Verification Documents and information exchanged pursuant to this Legal Verification Page shall be treated as confidential by the recipient and shall not be disclosed except to the extent necessary to carry out the purposes of this Legal Verification Page or as required by applicable law, regulation, or court order. The recipient shall take commercially reasonable measures to protect such information from unauthorized disclosure.

7. NOTICES

All notices, requests, demands, and other communications required or permitted hereunder shall be in writing and shall be delivered to the addresses set forth below or to such other address as either party may designate by written notice to the other.

8. AMENDMENTS; WAIVER

9. GOVERNING LAW
