RECITALS

WHEREAS, Consenting Party possesses certain personal information, records, or data (the "Protected Information") that may be necessary for Requesting Party to evaluate, verify, or process a transaction, benefit, claim, or other lawful purpose identified in this Consent; and

WHEREAS, Requesting Party has requested a verified form of consent from Consenting Party that authorizes the disclosure and verification of the Protected Information by specified third parties and by verification methods expressly described herein; and

WHEREAS, the parties desire to set forth the terms, scope, and procedures for such verified consent and the parties' respective rights and obligations with respect to verification, disclosure, security, and revocation.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Consent, the following terms have the following meanings: "Protected Information" means any personally identifiable information, records, documents, or data of Consenting Party identified in Section 2. "Verification Providers" means third parties engaged by Requesting Party to confirm identity, authenticity, or accuracy of Protected Information pursuant to the methods described in Section 3.

2. SCOPE OF CONSENT

Consenting Party hereby authorizes Requesting Party and its agents, affiliates, and designated Verification Providers to access, use, verify, reproduce and retain the Protected Information for the following specific purpose(s):

The authorization includes verification of identity, verification of documents and records, and disclosure to third parties only as necessary to accomplish the stated purpose. The Disclosure permitted hereunder shall be limited to the categories of information specifically described below and in the attached exhibits, if any.

3. VERIFIED IDENTIFICATION AND METHODS

Consenting Party agrees that identity verification may be accomplished by one or more of the following methods (select applicable methods):





Requesting Party shall provide Consenting Party with the identity and contact information of any Verification Provider upon request and shall obtain and maintain documentary evidence of the verification performed. Verification Providers shall be permitted to retain verification records only to the extent necessary to fulfill legal obligations and to comply with their own retention policies as reasonable for the purpose described herein.

4. REPRESENTATIONS AND WARRANTIES

Consenting Party represents and warrants that: (a) Consenting Party is the lawful owner or otherwise lawfully entitled to authorize access to the Protected Information; (b) the information provided by Consenting Party for verification is true, accurate, and complete to the best of Consenting Party's knowledge; and (c) Consenting Party has the authority to provide this Consent without violating any contract, law, or third-party right.

5. LIMITATIONS ON USE AND DISCLOSURE

Requesting Party shall use the Protected Information only for the purposes stated in Section 2 and shall not sell, rent, or use the Protected Information for unrelated commercial purposes. Disclosure to third parties is limited to those third parties necessary to accomplish the authorized purpose, and Requesting Party shall enter into written agreements with such third parties requiring comparable confidentiality and data-protection obligations.

6. DATA SECURITY; RECORDS RETENTION

Requesting Party agrees to implement and maintain commercially reasonable administrative, physical, and technical safeguards to protect the Protected Information from unauthorized access, use, disclosure, modification, or destruction. Requesting Party shall retain verification records only for as long as necessary to fulfill the authorized purpose and to satisfy legal obligations, after which such records shall be securely destroyed or de-identified.

7. REVOCATION

Consenting Party may revoke this Consent at any time by providing written notice of revocation to Requesting Party at the address specified in Section 11. Revocation shall be effective upon receipt by Requesting Party, except to the extent Requesting Party has already acted in reliance on the Consent prior to receipt. Revocation will not affect disclosures already made or actions taken in reliance on this Consent prior to the effective date of revocation.

8. INDEMNIFICATION

Requesting Party shall indemnify, defend and hold harmless Consenting Party from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Requesting Party's breach of this Consent, misuse of the Protected Information, or failure to comply with applicable laws in connection with the use or disclosure of the Protected Information, except to the extent caused by the gross negligence or willful misconduct of Consenting Party.

9. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY EXEMPLARY, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES ARISING OUT OF THIS CONSENT, REGARDLESS OF THE NATURE OF THE CLAIM.

10. TERM AND TERMINATION

This Consent shall commence on the Effective Date and shall continue until the earlier of (a) completion of the purpose described in Section 2, (b) revocation by Consenting Party pursuant to Section 7, or (c) termination by mutual written agreement. Termination shall not relieve any party of obligations accrued prior to termination.

11. NOTICES

All notices, requests, demands and other communications required or permitted under this Consent shall be in writing and shall be delivered to the parties at the addresses set forth below (or at such other address as a party may designate by notice in accordance with this Section). Notices shall be deemed given upon receipt when delivered in person, by confirmed delivery service, or by certified mail, return receipt requested.

12. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment, modification, or waiver of any provision of this Consent shall be effective unless in writing and signed by both parties. No waiver of any breach shall constitute a waiver of any other breach. This Consent may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Consent shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. This Consent constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Consent is held to be invalid or unenforceable, the remainder of this Consent shall remain in full force and effect.
