RECITALS

WHEREAS, Producer produces, distributes and licenses audiovisual content and desires to record, photograph, film, capture and create audio-visual material featuring Participant (the "Recordings") for commercial, promotional, archival and ancillary uses; and

WHEREAS, Participant agrees to render services, perform, appear and be recorded under the terms set forth herein and warrants the authority to grant the rights and licenses granted in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Recordings shall be created, used and licensed.

NOW THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

"Recordings" means all film, video, audio, still photographs, digital files and other captured or created media in which Participant appears or is otherwise included, and all edits, versions and derivatives thereof. "Territory" means worldwide unless otherwise specified in writing. "Term" means the duration of rights set forth in Section 4 below.

2. GRANT OF RIGHTS

Participant hereby grants to Producer, its licensees, successors and assigns an exclusive (subject to the exclusivity checkbox below), perpetual, irrevocable, worldwide, royalty-free, sublicensable right and license to record, reproduce, distribute, edit, exhibit, transmit, perform, display, publicly and privately exploit, translate, adapt and otherwise use the Recordings and Participant's name, voice, likeness, biographical information and performance in connection with the Recordings and any derivative works (collectively, "Content") in any and all media now known or hereafter devised. The rights granted in Section 2 shall be effective in the Territory worldwide and shall continue in perpetuity unless otherwise agreed in writing.

5. REPRESENTATIONS AND WARRANTIES

Participant represents and warrants that Participant has the full right, power and authority to enter into this Agreement and to grant the rights herein; that the execution and performance of this Agreement will not breach any agreement or obligation to any third party; and that there are no pending or threatened claims, liens or encumbrances that would impair the rights granted to Producer.

Participant further warrants that any third-party intellectual property included in the Recordings has been or will be cleared prior to inclusion, unless otherwise agreed in writing.

6. CONFIDENTIALITY

To the extent any information exchanged between the parties is designated in writing as confidential and is not included in the Recordings or Content, the receiving party will hold such information in strict confidence and not use or disclose it except as expressly permitted by this Agreement or required by law. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

7. USE, EDITING, CREDITS AND MORAL RIGHTS

Producer may edit, composite, alter, add to, or omit portions of the Recordings and Copyright or credit the Recordings in Producer's sole discretion. Participant hereby irrevocably waives any moral rights or rights of attribution or integrity in the Recordings to the extent permitted by law.

8. INDEMNIFICATION

Participant shall indemnify, defend and hold harmless Producer and its affiliates, licensees, successors and assigns from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Participant's breach of any representation, warranty or covenant in this Agreement or any claim that Participant lacks authority to grant the rights herein.

Producer shall indemnify Participant for claims arising out of Producer's gross negligence or willful misconduct in connection with the production or distribution of the Recordings.

9. LIMITATION OF LIABILITY

Except for liability arising from intentional misconduct, fraud or indemnity obligations for third-party claims, neither party shall be liable for consequential, incidental, special or punitive damages. Producer's aggregate liability under this Agreement shall not exceed the amount of fees actually paid by Producer to Participant under Section 3.

10. TERMINATION; SURVIVAL

This Agreement may be terminated upon material breach by a party that remains uncured for thirty (30) days after written notice. Termination shall not affect Producer's rights in Recordings already created or distributed pursuant to rights granted prior to termination. Provisions which by their nature survive termination shall remain in effect, including Sections 2, 5, 6, 8, 9 and 13.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or such other address as a party may designate by written notice). Notices shall be effective upon receipt.

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. No waiver of any breach shall be effective unless in writing. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Email or facsimile copies of signatures shall be binding.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of: without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the chosen jurisdiction.

14. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except that Producer may assign this Agreement to an affiliate or successor in interest without Participant's consent. Headings are for convenience only and shall not affect interpretation.
