LEGAL VISIT AGREEMENT

This Legal Visit Agreement (the "Agreement") is entered into as of , by and between Visitor Name: (the "Visitor"), and Host Name: (the "Host").

RECITALS

WHEREAS, Host operates the premises, facilities, or operations described herein and permits controlled visits by authorized persons for legitimate business, legal, investigatory, or consultative purposes; and

WHEREAS, Visitor desires to enter the Host premises for the specific purpose set forth below and Host is willing to permit such access subject to the terms, conditions, and restrictions of this Agreement; and

WHEREAS, the parties intend that the visitation shall be governed by terms that protect safety, confidentiality, and property rights of the Host while allowing Visitor reasonable access for the stated purpose.

NOW THEREFORE, in consideration of the mutual covenants set forth below and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement: "Premises" means the specific location(s) of Host to which Visitor will be granted access as set forth in Section 2. "Authorized Personnel" means Host employees, contractors, and representatives designated by Host to supervise or accompany Visitor. "Confidential Information" means non-public business, operational, technical, or personal information disclosed or observed during the Visit, whether oral, written, electronic or visual.

3. ACCESS, IDENTIFICATION, AND SUPERVISION

Visitor shall present valid photographic identification upon request and shall display any Visitor badge or credential issued by Host at all times while on the Premises. Visitor access is limited to the locations and times expressly authorized by Host and Visitor shall be escorted by Authorized Personnel when so required by Host security protocols.

4. HEALTH, SAFETY, AND CONDUCT

Visitor shall comply with all safety instructions and site rules provided by Host, including but not limited to the use of personal protective equipment, restricted area prohibitions, and emergency procedures. Visitor shall not bring hazardous materials onto the Premises and shall immediately report any accident, injury, or unsafe condition to Authorized Personnel.

5. CONFIDENTIALITY

Visitor acknowledges that during the Visit Visitor may have access to Confidential Information. Visitor shall not disclose, reproduce, or use such Confidential Information except as necessary to accomplish the legitimate purpose of the Visit and only with Host's prior written consent. This obligation shall survive the termination of this Agreement for a period of three (3) years, or longer if required by applicable law or by separate nondisclosure agreement between the parties.

6. PHOTOGRAPHY, RECORDING, AND ELECTRONIC DEVICES

Unless expressly authorized in writing by Host, Visitor shall not photograph, film, record, or transmit images, audio, or data from the Premises. Where limited recording is authorized, Visitor shall comply with Host's conditions, including redaction and secure handling of any recorded material. Violation of this Section shall constitute a material breach of this Agreement.

7. INDEMNIFICATION; LIMITATION OF LIABILITY

Visitor shall indemnify, defend and hold harmless Host and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Visitor's acts or omissions during the Visit, except to the extent caused by Host's gross negligence or willful misconduct.

EXCEPT FOR DAMAGES RESULTING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

8. INSURANCE

Visitor represents that Visitor maintains insurance coverage appropriate to the nature of the Visit and shall, upon Host's request, provide certificates of insurance naming Host as additional insured where required by Host. Nothing in this Agreement limits the liability of Visitor to maintain such insurance.

9. RETURN OF MATERIALS; REMOVAL

Visitor shall not remove documents, devices, samples, or other materials from the Premises without Host's prior written authorization. Any materials authorized for removal shall remain subject to the confidentiality and handling requirements of this Agreement.

10. TERMINATION

Host may, in its sole discretion, suspend or terminate Visitor's access at any time for breach of this Agreement or for any conduct deemed unsafe, inappropriate, or contrary to Host policies. Upon termination, Visitor shall immediately leave the Premises and return any Host property and credentials.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses specified below by hand, courier, or certified mail (return receipt requested) and shall be deemed given upon receipt.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Premises are located, without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of disputes arising under this Agreement.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect and be construed so as to effectuate the original intent of the parties to the fullest extent permitted by law.

15. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. The failure of either party to enforce any right shall not be deemed a waiver of such right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
