LEGAL VISIT AGREEMENT WAIVER

This Legal Visit Agreement Waiver (the Agreement) is entered into as of Effective Date: by and between Host Name: with principal address: (hereinafter "Host"), and Visitor Name: with contact address: (hereinafter "Visitor").

RECITALS

WHEREAS, Host operates the facility and/or premises located at and from time to time permits third parties to enter its premises for inspections, demonstrations, meetings, or other authorized visits; and

WHEREAS, Visitor desires to enter the Host premises for the specific purpose of: on Proposed Visit Date: between Arrival Time: and Departure Time: ; and

WHEREAS, Host requires Visitor to execute this Agreement as a condition of being permitted to visit the premises.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SCOPE OF VISIT

Visitor shall visit only the areas of the premises expressly authorized by Host: Visitor acknowledges that access to other areas is strictly prohibited unless accompanied by an authorized representative of Host.

2. COMPLIANCE WITH RULES

Visitor shall comply with all posted rules, safety directives, and instructions provided by Host personnel. Visitor shall wear required personal protective equipment (PPE) if and as required and shall not bring prohibited items onto the premises. Failure to comply may result in immediate termination of the visit and removal from the premises.

3. ASSUMPTION OF RISK AND RELEASE

Visitor acknowledges that entry to the Host premises involves inherent risks, including but not limited to bodily injury, death, property damage, exposure to hazardous materials, and other hazards. Visitor voluntarily and expressly assumes all such risks, whether known or unknown. To the fullest extent permitted by law, Visitor hereby releases, waives, discharges, and covenants not to sue Host, its affiliates, officers, directors, employees, agents, contractors and representatives (collectively, Released Parties) from any and all claims, liabilities, losses, damages, costs, and expenses (including attorneys' fees) arising out of or related to Visitor's presence on the premises, except to the extent caused by the gross negligence or willful misconduct of the Released Parties.

4. INDEMNIFICATION

Visitor shall indemnify, defend and hold harmless the Released Parties from and against any and all claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees and costs) resulting from or arising out of Visitor's acts or omissions in connection with the visit, including breach of this Agreement, negligence, failure to follow instructions, or any violation of law by Visitor or Visitor's agents, employees, or invitees.

5. CONFIDENTIALITY

Visitor may be exposed to Confidential Information (defined as non-public information concerning Host's business, processes, products, designs, financial condition, or other proprietary matters). Visitor agrees to maintain such Confidential Information in strict confidence, not to disclose it to any third party, and to use it solely for the limited purpose of the visit. Visitor shall return or destroy all tangible materials containing Confidential Information upon request. The confidentiality obligations shall survive termination of this Agreement.

6. PHOTOGRAPHY AND RECORDING

Visitor shall not photograph, record video, or otherwise capture images or audio on the premises except with the prior written consent of Host. Visitor acknowledges that any permitted photographs or recordings that capture Confidential Information remain subject to the confidentiality obligations set forth above.

7. MEDICAL AUTHORIZATION

In the event of an emergency, Host is authorized to arrange or provide emergency medical treatment for Visitor. Visitor authorizes emergency medical providers to treat Visitor and agrees to be responsible for all costs associated with such treatment. Visitor's known medical conditions, allergies, medications, or special needs:

Visitor represents that Visitor carries adequate personal and automobile insurance as applicable and agrees that such insurance is primary for any claims arising from the visit. Visitor shall provide proof of insurance upon request.

9. TERM AND TERMINATION

This Agreement is effective on the Effective Date and applies to the visit described herein and to any subsequent visits by the Visitor to the premises, unless earlier terminated in writing by Host. Host may terminate Visitor's access at any time for any reason.

All notices under this Agreement shall be in writing and delivered to the addresses below:

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. The failure of either party to enforce any right shall not constitute a waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and together shall constitute one and the same instrument.

12. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state specified for Governing Law: without regard to its conflicts of law principles. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral or written.
