LEGAL VO RELEASE FORM

This Legal VO Release Form (the "Agreement") is entered into as of by and between Company Name: with a principal business address at ("Company"), and Vocalist Name: , residing at ("Vocalist").

RECITALS

WHEREAS, Company desires to obtain certain voice-over recordings and related vocal performances from Vocalist for use in connection with the Project described below; and

WHEREAS, Vocalist represents that Vocalist has the right to grant the rights and licenses set forth in this Agreement and is willing to provide such recordings under the terms and conditions herein; and

WHEREAS, the parties intend that all recordings, performances and deliverables made pursuant to this Agreement be owned, licensed and exploited as set forth herein.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, receipt of which is acknowledged, the parties agree as follows:

1. PROJECT AND SERVICES

Vocalist shall perform and deliver voice-over recordings and related vocal services (the "Services") for the project titled (the "Project") on or about . The Services shall conform to the technical and creative specifications provided by Company prior to recording.

2. GRANT OF RIGHTS

Vocalist hereby irrevocably grants, assigns and conveys to Company, its successors and assigns, all right, title and interest in and to the Services, the master recordings, performance recordings and any derivative works created therefrom (collectively, the "Materials"), including, without limitation, all copyrights, renewals and extensions throughout the world, in perpetuity, for all media now known or hereafter devised. This grant includes the exclusive rights of reproduction, distribution, public performance, display, synchronization, adaptation, editing and creation of derivative works.

3. WORK FOR HIRE; OWNERSHIP

The parties intend that to the fullest extent permitted by law the Materials shall be deemed "works made for hire" for Company. To the extent that any of the Materials do not qualify as works made for hire, Vocalist hereby irrevocably assigns to Company all right, title and interest in and to such Materials, including all copyrights and moral rights, without further consideration.

4. COMPENSATION

Except as expressly provided in this Agreement, payment of the compensation specified above constitutes full and complete consideration for the rights granted herein and fully compensates Vocalist for all Services and releases granted to Company.

5. CREDIT

Company is not obligated to provide credit to Vocalist except as may be set forth here: . Any credit shall be at Company's discretion as to form, size and placement.

6. REPRESENTATIONS AND WARRANTIES

Vocalist represents and warrants that Vocalist is the sole owner of all rights necessary to grant the rights herein, that the Services and Materials do not infringe the rights of any third party, and that Vocalist is not under any contractual or legal restriction that would interfere with the rights granted to Company. Vocalist further warrants that Vocalist has the full right and authority to enter into this Agreement and to grant the rights herein.

7. INDEMNIFICATION

Vocalist shall indemnify, defend and hold Company harmless from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Vocalist's representations, warranties or agreements set forth herein, or from any claim that the Materials or Vocalist's performance infringe upon the rights of any third party.

8. CONFIDENTIALITY

The parties acknowledge that in the course of performing this Agreement each may receive confidential information of the other. Each party agrees to maintain such information in confidence and not to disclose it except as necessary to perform its obligations or as required by law.

9. TERMINATION

This Agreement may be terminated by mutual written agreement of the parties. Termination shall not affect Company's ownership or rights in Materials previously delivered or paid for, and any accrued obligations shall survive termination.

10. NOTICES

All notices shall be in writing and delivered by certified mail, courier, or personal delivery to the addresses set forth above and shall be effective upon receipt.

11. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any breach shall be deemed a waiver of any other or subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one and the same instrument.

12. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of laws principles. If any provision of this Agreement is held invalid or unenforceable, the remainder shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
