LEGAL VOICE LETTER OF AUTHORIZATION (LOA)

This Letter of Authorization ("LOA") is made and entered into as of Effective Date: by and between Client Name: with principal place of business at Client Address: ("Client"), and Legal Voice Name: with address Legal Voice Address: ("Agent").

RECITALS

WHEREAS, Client desires to engage Agent to act on Client's behalf to perform the services and actions described in this LOA, and to authorize Agent to access, transmit, receive, modify, and otherwise manage records or accounts as set forth below; and

WHEREAS, Agent represents that it has the experience, personnel, and authority necessary to perform such services and will act in accordance with applicable laws and professional standards; and

WHEREAS, the parties desire to set forth the terms, scope, and limits of the authorization granted herein.

NOW, THEREFORE, in consideration of the mutual covenants contained in this LOA and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. AUTHORIZATION

Client hereby authorizes Agent to act on Client's behalf to perform the specific actions identified in Section 2 (Scope of Authority) and to execute, submit, receive, and accept documents, requests, consents, and other communications reasonably necessary to accomplish those actions. This authorization includes the authority to obtain records, communicate with third parties, and to take administrative steps reasonably necessary to effectuate the purposes of this LOA.

2. SCOPE OF AUTHORITY

Agent's authority is limited to the following actions (check all that apply) and any additional activities expressly described in the Scope Details field below:

The authorization granted by this LOA commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with Section 9 (Termination).

4. FEES AND PAYMENT

Client agrees to pay Agent the fees for services performed under this LOA in accordance with the fee schedule set out below. All fees are due within thirty (30) days of invoice unless otherwise agreed in writing.

5. CONFIDENTIALITY

Agent shall treat as confidential all non-public information received from Client in connection with this LOA and shall not disclose such information except to the extent necessary to perform the authorized actions, to comply with law, or with Client's prior written consent. Agent shall implement reasonable safeguards to protect confidential information.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full corporate power and authority to enter into this LOA and to perform its obligations hereunder, and that the execution and delivery of this LOA has been duly authorized by all necessary corporate or organizational action.

7. INDEMNIFICATION AND LIMITATION OF LIABILITY

Client agrees to indemnify, defend and hold Agent harmless from and against any and all claims, liabilities, losses, damages, costs and expenses arising out of Agent’s performance under this LOA except to the extent resulting from Agent's gross negligence or willful misconduct. Except as required by law, neither party shall be liable to the other for consequential, incidental, punitive or special damages.

8. COMPLIANCE WITH LAW

Agent shall perform its duties in compliance with all applicable federal, state, and local laws, rules and regulations. Client represents that the instructions provided to Agent and the authorized activities do not violate applicable law.

9. TERMINATION

This LOA may be terminated by either party upon written notice to the other party delivered in accordance with Section 11 (Notices). Termination does not affect obligations accrued prior to termination, including payment obligations. Upon termination, Agent shall promptly return or securely destroy Client's confidential information, as directed by Client.

10. NOTICES

Any notice required or permitted under this LOA shall be in writing and shall be delivered by hand, by nationally recognized overnight courier, or by first-class certified mail (return receipt requested) to the addresses set forth below or to such other address as either party may designate by notice in accordance with this Section. Notices shall be effective upon receipt.

11. GOVERNING LAW

This LOA shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any dispute arising under this LOA shall be resolved in the state or federal courts located within that State.

12. ENTIRE AGREEMENT

This LOA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

13. SEVERABILITY

If any provision of this LOA is held to be invalid, illegal or unenforceable in any respect, such provision shall be severed and the remaining provisions shall remain in full force and effect.

14. AMENDMENT AND WAIVER

No amendment, modification or waiver of any provision of this LOA shall be effective unless made in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

15. COUNTERPARTS
