5. NOTICES

All notices, demands, consents or other communications required or permitted under this Amendment shall be in writing and delivered to the address set forth below for each party and shall be effective upon receipt.

6. AMENDMENT; WAIVER

No amendment or waiver of any provision of this Amendment shall be effective unless in writing and signed by the party against whom enforcement is sought. No failure or delay in exercising any right constitutes a waiver.

7. GOVERNING LAW

This Amendment shall be governed by and construed in accordance with the laws of the state or jurisdiction selected by the parties below without regard to conflict of law principles.

8. ENTIRE AGREEMENT

This Amendment, together with the Original Vote, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

9. SEVERABILITY

If any provision of this Amendment is determined by a court of competent jurisdiction to be invalid or unenforceable, such determination shall not affect the validity or enforceability of any other provision, which shall remain in full force and effect.

10. COUNTERPARTS

This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Delivery of executed counterparts by electronic transmission shall be permitted and shall have the same force and effect as originals.
