LEGAL VOTING FORM

This Legal Voting Form is executed as of by and between Voter Name: (the "Voter") and Organization Name: (the "Organization").

RECITALS

WHEREAS, the Organization has called a meeting or requested written action of its members or shareholders with respect to certain matters scheduled for consideration on the Record Date of (the "Record Date"); and

WHEREAS, the Voter is entitled to vote on such matters and desires to cast a binding vote in accordance with the provisions set forth in this Legal Voting Form; and

WHEREAS, the parties intend that this form shall constitute the Voter's official ballot or written consent with respect to the resolutions set forth below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Legal Voting Form, the following terms shall have the meanings set forth below: "Record Date" means the date specified above for determination of persons entitled to vote; "Resolution" means any matter submitted for vote as described in Section 4 below; "Valid Vote" means a vote cast in compliance with the Organization's governing instruments and applicable law.

2. ELIGIBILITY TO VOTE

The Voter represents and warrants that, as of the Record Date, the Voter is the legal owner of the interests or shares reflected in the Organization's records and is entitled to cast one or more votes as specified by those records. The Voter acknowledges that any false statement regarding eligibility may subject the vote to challenge and may constitute a material misrepresentation.

3. INSTRUCTIONS FOR CASTING VOTE

The Voter shall indicate the Voter's selection for each Resolution by marking the corresponding option. Unless expressly permitted by the Organization's governing instruments, a single ballot may not be used to vote conflicting options on the same Resolution. Proxies shall be effective only if executed on the form provided and delivered to the Organization's Secretary in accordance with the Notices provision below.

The Voter's selections for each Resolution are set forth below. Each Resolution description shall control the subject matter of the vote and the Voter certifies that the description is read and understood prior to filing this form.

5. PROXY APPOINTMENT (OPTIONAL)

If the Voter wishes to appoint a proxy to exercise the Voter's vote, check the box below and provide proxy details. The proxy shall have the authority to vote only as specifically indicated and within the scope permitted by the Organization's governing documents.

6. TABULATION AND CERTIFICATION

Votes submitted by this form shall be tabulated by the Organization or its designated agent. The Organization's tabulation shall be final and conclusive as to the number of votes cast for each Resolution, subject to challenge as permitted by law. The Organization may reject ballots that are illegible, not timely submitted, or otherwise defective under governing instruments.

By signing below, the Voter certifies under penalty of perjury that the information provided on this form is true and correct to the best of the Voter's knowledge, that the Voter is authorized to cast the votes indicated, and that the Voter understands that willful falsification may result in legal consequences.

7. CONFIDENTIALITY AND RECORDS

The Organization shall retain this Voting Form and related records in accordance with its record retention policy. The Organization may treat completed ballots as confidential documents except as disclosure is required by law, regulation, or the Organization's governing instruments.

8. NOTICES

Notices required or permitted under this Legal Voting Form shall be given in writing and delivered to the addresses specified below or to such other address as a party designates in writing in accordance with this provision.

9. AMENDMENTS; WAIVER

Any amendment or waiver of any provision of this Legal Voting Form must be in writing and signed by both parties. No failure or delay by any party in exercising any right shall operate as a waiver of that right.

10. GOVERNING LAW

This Legal Voting Form shall be governed by and construed in accordance with the laws of the state specified by the Organization's governing documents. The parties submit to the exclusive jurisdiction of the courts of the appropriate forum for any dispute arising under or relating to this Voting Form.

11. ENTIRE AGREEMENT

This Legal Voting Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

12. SEVERABILITY

If any provision of this Legal Voting Form is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

13. COUNTERPARTS

This Legal Voting Form may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be binding for all purposes.
