LEGAL WAIVER ACKNOWLEDGEMENT

RECITALS

WHEREAS, Releasor desires to participate in the activity described below and related activities (collectively, the "Activity"); and

WHEREAS, Releasee is providing facilities, services, supervision or equipment in connection with the Activity; and

NOW, THEREFORE

In consideration of being permitted to participate in the Activity and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

"Releasor" means the person or entity identified as Releasor above. "Releasee" means the person or entity identified as Releasee above, together with Releasee's officers, directors, agents, employees, contractors, volunteers, insurers and affiliates. "Claims" means any and all claims, demands, suits, causes of action, liabilities, damages, losses, costs and expenses (including attorneys' fees and costs) of every nature and description, whether known or unknown, foreseen or unforeseen, arising out of or in connection with the Activity.

2. ACKNOWLEDGMENT OF RISK

Releasor acknowledges and understands that participation in the Activity involves inherent risks that may result in property damage, personal injury or death, and that such risks may arise from the acts or omissions of Releasee or of third parties. Releasor voluntarily assumes all such risks, whether known or unknown, inherent or otherwise, and accepts sole responsibility for any damage, injury or loss that Releasor may sustain as a result of participation in the Activity.

3. WAIVER AND RELEASE

To the maximum extent permitted by applicable law, Releasor hereby releases, waives, discharges and covenants not to sue Releasee for any and all Claims arising out of or relating to Releasor's participation in the Activity, whether arising from the negligence of Releasee or otherwise, except to the extent caused by Releasee's gross negligence or willful misconduct. This release is intended to be as broad and inclusive as permitted by law.

4. INDEMNIFICATION

Releasor shall indemnify, defend and hold harmless Releasee from and against any and all Claims brought by third parties arising from Releasor's acts, omissions, breach of this Acknowledgement, or participation in the Activity. This indemnity obligation includes payment of reasonable attorneys' fees, costs and expert fees incurred by Releasee in defending such Claims.

5. NO ADMISSION OF LIABILITY

The parties acknowledge that this Acknowledgement is not and shall not be construed as an admission of liability or fault by any party, and that it is entered into for the purpose of allocating risk between the parties.

6. REPRESENTATIONS AND WARRANTIES

Releasor represents and warrants that Releasor is competent to enter into this Acknowledgement, has read and understands its terms, is acting voluntarily, and is not relying on any oral or written representations or statements made by Releasee other than those expressly set forth in this Acknowledgement. If Releasor is executing this Acknowledgement on behalf of a minor or other third party, Releasor represents that Releasor is authorized to do so and assumes all responsibility for such authorization.

7. LIMITED REMEDIES; LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no event shall Releasee be liable to Releasor for special, incidental, indirect, punitive or consequential damages. Releasee's aggregate liability under or in connection with this Acknowledgement shall not exceed the amount of actual, direct damages proven by Releasor, except to the extent such limitation is unenforceable under applicable law.

8. CONFIDENTIALITY

The parties agree that the terms of this Acknowledgement, and any information exchanged in connection with a Claim, shall be held confidential and shall not be disclosed to any third party except as required by law or as reasonably necessary to enforce the terms of this Acknowledgement.

9. NOTICES

All notices, requests, demands and other communications required or permitted under this Acknowledgement shall be in writing and addressed as follows:

This Acknowledgement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of laws principles.

11. ENTIRE AGREEMENT
