LEGAL WAIVER ACKNOWLEDGMENT

RECITALS

WHEREAS, Releasor intends to engage in or participate in the following activity or event (the "Activity"): ; and

WHEREAS, Releasee owns, operates, or provides access to premises, equipment, services or instruction related to the Activity and permits Releasor to participate under terms and conditions that include release and waiver of claims; and

WHEREAS, the parties desire to set forth their mutual understandings, waivers and allocations of risk arising from the participation in the Activity.

NOW THEREFORE, in consideration of the mutual covenants herein contained and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Acknowledgment: "Claim" means any demand, cause of action, liability, loss, damage, cost or expense (including reasonable attorneys' fees and costs); "Releasor" means the person identified above and their heirs, executors, administrators and assigns; and "Releasee" means the person or entity identified above and their officers, directors, employees, agents, successors and assigns.

2. WAIVER AND RELEASE

Releasor, on behalf of Releasor and Releasor's heirs, assigns and legal representatives, knowingly and voluntarily waives, releases, acquits and forever discharges Releasee from any and all Claims arising out of or relating to Releasor's participation in the Activity, including but not limited to claims arising from negligence, breach of contract, strict liability, or other legal theory, to the fullest extent permitted by applicable law. Releasor acknowledges that this waiver and release includes claims for bodily injury, property damage, and death that may arise from the Activity.

3. ASSUMPTION OF RISK

Releasor acknowledges and understands that participation in the Activity involves inherent risks, hazards and dangers which may result in serious bodily injury, disability, death or property damage. Releasor expressly and voluntarily assumes all risks associated with participation in the Activity, whether known or unknown, foreseeable or unforeseeable.

4. INDEMNIFICATION

To the fullest extent permitted by law, Releasor agrees to indemnify, defend and hold harmless Releasee from and against any and all third-party Claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with Releasor's acts or omissions in connection with the Activity, breach of this Acknowledgment, or Releasor's violation of law.

5. NO ADMISSION OF LIABILITY

This Acknowledgment shall not be construed as an admission of liability by any party. The provisions hereof are intended to allocate risks among the parties and shall be binding notwithstanding any dispute regarding fault or causation.

6. LIMITATIONS AND ENFORCEABILITY

If any portion of this Acknowledgment is found to be void or unenforceable under applicable law, that portion shall be severed and the remaining provisions shall continue in full force and effect. To the extent a court holds that release of liability for gross negligence or willful misconduct is unenforceable, the remainder of the release shall remain binding.

7. REPRESENTATIONS

Releasor represents and warrants that Releasor is at least eighteen (18) years of age, has the full capacity and legal authority to enter into this Acknowledgment, and that Releasor has read and understands its terms. Releasor acknowledges that Releasor has been afforded the opportunity to ask questions and, if desired, to seek independent legal advice prior to signing.

8. NOTICES

All notices required or permitted under this Acknowledgment shall be in writing and shall be deemed given when delivered personally or when sent by certified mail, return receipt requested, to the addresses provided above, or to such other address as either party may specify by notice in accordance with this section.

9. GOVERNING LAW; VENUE

This Acknowledgment shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. Any action arising out of or relating to this Acknowledgment shall be brought exclusively in the state or federal courts located within that state.

10. ENTIRE AGREEMENT

This Acknowledgment constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written.

11. SEVERABILITY

If any provision of this Acknowledgment is determined to be invalid or unenforceable, such determination shall not affect the validity or enforceability of any other provision, which shall remain in full force and effect.

12. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Acknowledgment shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver of that provision. This Acknowledgment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
