Legal Waiver and Consent Form

Recitals

WHEREAS, Releasor desires to participate in or allow participation in the following activity: (the "Activity"); and

WHEREAS, Releasee organizes, supervises, operates, or permits the Activity and requires that participants execute this Agreement as a condition of participation; and

WHEREAS, the parties intend by this Agreement to allocate the risks associated with the Activity, to release certain claims and to establish the terms under which consent for medical care, publicity and related matters shall be given.

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

1. Definitions

For purposes of this Agreement:

"Claims" means any and all claims, demands, causes of action, suits, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) of any kind, whether at law or in equity, arising out of or related to the Activity.

"Releasees" means Releasee and its officers, directors, employees, agents, volunteers, contractors, successors and assigns.

2. Acknowledgment of Risk

Releasor acknowledges and agrees that the Activity involves inherent risks, hazards and dangers that may result in personal injury, death, property loss or damage. Releasor has been informed of the nature of the Activity and the foreseeable risks and has had the opportunity to ask questions regarding safety and the conduct of the Activity.

3. Assumption of Risk

Releasor expressly and voluntarily assumes all risks associated with participation in the Activity, whether known or unknown, foreseeable or unforeseeable, including without limitation the risk of negligent acts or omissions by the Releasees.

4. Release and Waiver

To the fullest extent permitted by law, Releasor hereby releases, discharges, waives and relinquishes any and all Claims against the Releasees arising out of, or in any way connected with, Releasor's participation in the Activity, including Claims arising from the negligence of any Releasee. This release extends to all claims for personal injury, property damage, wrongful death, and economic loss.

5. Indemnification

Releasor agrees to indemnify, defend and hold harmless the Releasees from and against any and all Claims, demands, suits, liabilities, costs and expenses (including reasonable attorneys' fees) brought by any third party arising out of Releasor's acts or omissions in connection with the Activity, including claims arising from Releasor's breach of this Agreement.

6. Consent to Medical Treatment

Releasor authorizes Releasee to obtain emergency medical treatment for Releasor in the event of illness or injury if Releasor is incapacitated or otherwise unable to give consent. Releasor agrees that all medical expenses incurred will be the responsibility of Releasor or Releasor's insurer, and Releasor releases Releasees from any liability for such treatment provided in good faith.

7. Media and Publicity Release

Releasor grants Releasee the right to take and use photographs, video, audio recordings and other media of Releasor in connection with the Activity for promotional, educational or other lawful purposes without compensation. Releasor waives any right to inspect or approve such uses and releases Releasee from any claims related to the use of such media.

8. Minors and Third-Party Signatures

If Releasor is signing on behalf of a minor participant, indicate below and provide the minor's information. By signing, the undersigned certifies that they are the parent or legal guardian and have full authority to execute this Agreement on the minor's behalf.

9. Representations and Warranties

Releasor represents and warrants that (a) Releasor has read and understands this Agreement and all warnings provided by Releasee; (b) Releasor is physically and mentally able to participate in the Activity; (c) Releasor is not under the influence of alcohol or any drugs which would impair Releasor's ability to participate safely; and (d) the execution of this Agreement does not violate any other agreement or legal obligation of Releasor.

10. Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices shall be deemed given upon personal delivery, delivery by recognized overnight carrier, or three (3) days after deposit in the United States mail, postage prepaid.

11. Amendments; Waiver; Counterparts

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any breach shall be effective unless in writing and signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument.

12. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the state specified below. Any action to enforce this Agreement shall be brought exclusively in the state or federal courts located in that state.

13. Entire Agreement; Severability

This Agreement contains the entire understanding between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
