LEGAL WAIVER AND CONSENT AGREEMENT

This Legal Waiver and Consent Agreement ("Agreement") is made and entered into as of Effective Date: by and between Party A: (select entity type Individual Entity) and Party B: (select entity type Individual Entity).

RECITALS

WHEREAS, Party A and Party B are parties to certain activities, events, services, or interactions described herein and desire to define their respective rights and obligations with respect to risk, liability, and consent; and

WHEREAS, Party A and Party B wish to memorialize an express waiver, release, and undertaking to indemnify with respect to Claims arising from the Activities set forth in this Agreement; and

WHEREAS, the parties acknowledge that they have had the opportunity to ask questions and to obtain independent advice prior to executing this Agreement.

NOW, THEREFORE, in consideration of the promises and mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following capitalized terms shall have the meanings assigned below: "Activities" means all acts, events, services, or interactions described as: . "Claims" means any and all claims, demands, causes of action, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and costs) whether known or unknown, foreseen or unforeseen. "Released Parties" means Party A, Party B, and their respective agents, employees, officers, directors, affiliates, successors and assigns.

2. ACKNOWLEDGMENT OF RISK

The undersigned party acknowledges that participation in or association with the Activities involves certain inherent risks, including but not limited to personal injury, property damage, death, or other losses. The undersigned affirms that they have been provided a reasonable opportunity to inquire about the nature of the Activities and any associated risks and that they understand and voluntarily assume such risks.

3. WAIVER AND RELEASE

To the fullest extent permitted by applicable law, the undersigned, on behalf of themselves and their heirs, executors, administrators, successors and assigns, hereby irrevocably and unconditionally RELEASES, WAIVES, AND FOREVER DISCHARGES the Released Parties from any and all Claims arising out of, relating to, or in connection with the Activities, whether such Claims arise from the ordinary negligence of any Released Party or from any other cause, except for Claims arising from the gross negligence or willful misconduct of a Released Party.

4. INDEMNIFICATION

The undersigned agrees to indemnify, defend and hold harmless the Released Parties from and against any and all Claims (including reasonable attorneys' fees, expenses, and costs) resulting from or arising out of the undersigned's acts, omissions, breach of this Agreement, or participation in the Activities, provided that such obligation shall not apply to Claims determined by a final judgment to have arisen out of the gross negligence or willful misconduct of a Released Party.

5. CONSENT TO USE OF LIKENESS AND INFORMATION

The undersigned hereby grants to the Released Parties the irrevocable right to use their name, image, likeness, and statements in connection with the Activities and any related promotions, provided that such use shall be reasonable and not defamatory. If the undersigned does not consent to such use, indicate here: Do not consent.

6. REPRESENTATIONS AND WARRANTIES

The undersigned represents and warrants that: (a) they are at least eighteen (18) years of age and have the legal capacity to enter into this Agreement or, if applicable, that the signatory is duly authorized to bind the entity identified herein; (b) they have read and understand the terms of this Agreement; and (c) they enter into this Agreement voluntarily and without coercion.

7. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY RESULTING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL ANY RELEASED PARTY BE LIABLE TO THE UNDERSIGNED FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE ACTIVITIES OR THIS AGREEMENT.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided above by hand delivery, nationally recognized overnight courier, or certified mail (return receipt requested), and shall be effective upon receipt.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: without regard to its conflict of laws principles.

10. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings and agreements, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. This Agreement may be amended only by a written instrument signed by both parties.

11. WAIVER; COUNTERPARTS

No failure or delay by any party in exercising any right under this Agreement shall operate as a waiver thereof. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

The undersigned acknowledges that they have read and fully understand this Agreement, that they are giving up substantial legal rights by signing it, and that they sign it voluntarily and without inducement.
