LEGAL WAIVER DECLARATION

1.1 "Claims" means any and all known or unknown claims, demands, causes of action, obligations, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees), whether in law or in equity, whether fixed or contingent, foreseen or unforeseen, asserted or unasserted, arising out of, based upon, or relating to the Matter.

2. WAIVER AND RELEASE

2.1 Release. In consideration of the obligations and consideration set forth in this Declaration, Releasor, on behalf of Releasor and Releasor's heirs, executors, administrators, successors and assigns, hereby fully, finally and forever releases and discharges Releasee and Releasee's past, present and future parents, subsidiaries, affiliates, officers, directors, agents, employees, insurers and attorneys (collectively "Releasees") from any and all Claims arising out of or related to the Matter.

6. INDEMNIFICATION

Releasor agrees to indemnify, defend and hold harmless Releasees from and against any and all third-party Claims, demands, suits or proceedings (including attorneys' fees and costs) arising out of any breach by Releasor of this Declaration or arising out of any Claims expressly reserved by Releasor in writing at the time of execution of this Declaration.

11. ENTIRE AGREEMENT; SEVERABILITY

This Declaration constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. If any provision of this Declaration is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
