3.2 Releasee Representations. Releasee represents and warrants that (a) it has full power and authority to execute and deliver this Extension and to perform its obligations hereunder; and (b) it enters into this Extension voluntarily and without duress.

4. NO ADMISSION

4.1 No Admission of Liability. The Parties acknowledge and agree that this Extension and the performance hereunder are not and shall not be construed as an admission of liability, fault, or wrongdoing by any Party for any purpose.

5. INDEMNIFICATION

5.1 Indemnity. Each Party shall indemnify, defend and hold harmless the other Party, its officers, directors, employees and agents from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of or related to any breach of the representations, warranties or covenants of such indemnifying Party contained in this Extension.

6. TERMINATION

6.1 Termination for Material Breach. Either Party may terminate this Extension upon written notice to the other Party if the other Party materially breaches any covenant or obligation hereunder and such breach remains uncured for a period of thirty (30) days after written notice thereof.

7. NOTICES

7.1 Manner. All notices, demands or communications required or permitted under this Extension shall be in writing and shall be delivered by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth below (or to such other address as a Party may designate by notice in accordance with this Section).

8. AMENDMENT; WAIVER

8.1 Amendment. This Extension may be amended or modified only by a written instrument executed by both Parties.

9. GOVERNING LAW
