LEGAL WAIVER LETTER

RECITALS

"Released Claims" means all claims, demands, actions, causes of action, suits, liabilities, obligations, losses, costs, or expenses, whether legal or equitable, known or unknown, asserted or unasserted, that arise out of or relate to the matters described in the recitals or the claims summary set forth in this Waiver.

2. WAIVER AND RELEASE

Effective as of the Effective Date, Releasor irrevocably and unconditionally waives, releases, and forever discharges Releasee and Releasee's agents, employees, officers, directors, affiliates, insurers and successors and assigns from and against any and all Released Claims. This release includes, without limitation, all claims for damages, equitable relief, attorneys' fees, costs and expenses arising from the matters described in the recitals, whether arising under statute, contract, tort, or otherwise.

The parties acknowledge that this Waiver is intended to be a full and final release and shall extend to all claims whether presently known or unknown. Releasor expressly acknowledges that Releasor assumes the risk of any unknown claims and expressly waives the benefit of any statute or law that may limit the release of unknown claims.

3. SCOPE OF WAIVER

The waiver set forth in Section 2 covers the following specific matters and time periods:

Releasor represents that it is not aware of any facts that would render the Released Claims materially different from the description provided above.

6. INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of this Waiver or any representation or warranty made herein.

7. NO ADMISSION

The parties agree that execution of this Waiver and compliance with its terms shall not be construed as an admission of liability, wrongdoing, or fault by any party for any purpose, and such liability is expressly denied.

8. CONFIDENTIALITY

Except as otherwise required by law, the parties shall keep the terms and existence of this Waiver confidential and shall not disclose them to any third party, except to professional advisors, insurers or as required in legal proceedings. Confidentiality obligations shall remain in effect for years following the Effective Date.

9. NOTICES

All notices, requests, demands and other communications required or permitted under this Waiver shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified mail (return receipt requested), or sent by overnight courier, to the addresses below or to such other address as a party designates by written notice to the other.

10. GOVERNING LAW

This Waiver shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

11. ENTIRE AGREEMENT

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral, relating to such subject matter.

12. SEVERABILITY

If any provision of this Waiver is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid, illegal or unenforceable provision shall be reformed to reflect the parties' intent to the maximum extent permitted by law.

13. AMENDMENT; WAIVER

No amendment, modification, or waiver of any provision of this Waiver shall be effective unless in writing and signed by both parties. No waiver of any breach shall be deemed a waiver of any subsequent breach.

14. COUNTERPARTS; ELECTRONIC SIGNATURES

This Waiver may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall have the same force and effect as original signatures.
