Legal Waiver Release

This Legal Waiver Release (the "Release") is made and entered into as of Effective Date: by and between Releasor: whose address is , and Releasee: whose address is . Each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Releasor intends to participate in or benefit from the activity described as: (the "Activity"), and acknowledges the risks inherent in such Activity;

WHEREAS, Releasee is willing to permit Releasor to participate in the Activity in reliance upon the release, waiver and indemnity provisions set forth in this Release;

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to claims arising out of the Activity.

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Definitions

For purposes of this Release: "Claims" means any and all actions, suits, causes of action, demands, debts, losses, liabilities, fines, penalties, costs and expenses (including attorneys' fees), whether known or unknown, fixed or contingent, at law or in equity. "Released Parties" means Releasee and its officers, directors, employees, agents, successors and assigns and any person or entity acting on Releasee's behalf.

2. Release and Waiver

Releasor, on behalf of Releasor and Releasor's heirs, executors, administrators, personal representatives and assigns, hereby irrevocably and unconditionally releases, acquits and forever discharges the Released Parties from and against any and all Claims arising out of or in any way related to the Activity, whether arising before or after the Effective Date, including but not limited to Claims for bodily injury, property damage, emotional distress, or death, to the fullest extent permitted by law.

3. Limitation for Willful Misconduct

Notwithstanding the foregoing, this Release shall not operate to release Claims that cannot be lawfully waived under applicable law, including Claims arising solely from the willful misconduct or gross negligence of any Released Party, to the extent such non-waivable Claims exist.

4. Assumption of Risk

Releasor acknowledges that participation in the Activity involves inherent risks, hazards and dangers which may result in serious bodily injury or death. Releasor knowingly and voluntarily assumes all such risks, whether known or unknown, foreseeable or unforeseeable.

5. Indemnification

Releasor shall defend, indemnify and hold harmless the Released Parties from and against any and all Claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of or related to Releasor's acts, omissions or breach of this Release, except to the extent caused by the gross negligence or willful misconduct of a Released Party.

Releasor represents and warrants that Releasor is of legal age and has the full right, capacity, and authority to enter into this Release; that Releasor has read and understands this Release; and that Releasor is not relying on any oral or written statements or representations other than those contained in this Release.

All notices shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or sent by certified mail, return receipt requested, to the addresses provided above or to such other address as either Party may designate by notice to the other.

9. Governing Law

This Release shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

10. Entire Agreement; Severability

This Release contains the entire understanding of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. If any provision of this Release is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

11. Amendments; Waiver; Counterparts

No amendment or waiver of any provision of this Release shall be effective unless in writing and signed by both Parties. No failure or delay by any Party in exercising any right shall operate as a waiver of that right. This Release may be executed in counterparts, each of which shall be an original, and all of which together shall constitute one and the same instrument.

12. Enforcement; Remedies

The Parties acknowledge that monetary damages may not be a sufficient remedy for breach of this Release and that the prevailing Party shall be entitled to equitable relief, including specific performance and injunctive relief, in addition to all other remedies available at law or in equity. The prevailing Party in any action to enforce this Release shall be entitled to recover reasonable attorneys' fees and costs.
