LEGAL WAIVER TAHL

This Waiver and Release Agreement ("Waiver") is made and entered into as of by and between Releasor Name: , an entity type: , and Releasee Name: , an entity type: .

RECITALS

WHEREAS, Releasor intends to participate in or otherwise be present at the activity or event described as: (the "Activity"); and

WHEREAS, Releasee is the owner, operator or sponsor of the Activity and has provided certain facilities, equipment, personnel or access to the Activity; and

WHEREAS, the parties desire to define the rights, responsibilities and liabilities arising from Releasor's participation in the Activity.

NOW, THEREFORE, in consideration of the mutual promises and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

Capitalized terms used in this Waiver have the meanings set forth in the Recitals or as otherwise defined herein. "Claim" means any demand, cause of action, damage, loss, liability, cost or expense, including reasonable attorneys' fees and costs, whether known or unknown, asserted by any person or entity.

2. RELEASE AND WAIVER

Releasor, on behalf of Releasor and Releasor's heirs, agents, successors and assigns, hereby forever releases, waives, discharges and covenants not to sue Releasee and Releasee's officers, directors, employees, agents, contractors, insurers and affiliates (collectively, the "Released Parties") from any and all Claims arising out of or related to the Activity, including claims based on the negligence of any Released Party, to the fullest extent permitted by law.

3. ASSUMPTION OF RISK

Releasor acknowledges that participation in the Activity involves inherent risks, hazards and exposures which may result in property damage, personal injury, permanent disability, or death. Releasor knowingly and voluntarily assumes all such risks, whether known or unknown, foreseeable or unforeseeable.

4. INDEMNIFICATION

To the fullest extent permitted by law, Releasor shall indemnify, defend and hold harmless the Released Parties from and against any and all Claims arising out of Releasor's actions or omissions in connection with the Activity, including Claims for personal injury, property damage, and third-party claims, and shall reimburse the Released Parties for all attorneys' fees and costs incurred in connection with defending such Claims.

5. REPRESENTATIONS AND WARRANTIES

Releasor represents and warrants that Releasor is at least eighteen (18) years of age, has the legal capacity to enter into this Waiver, has read and understands this Waiver in its entirety, and is executing this Waiver voluntarily and without coercion. Releasor further represents that Releasor has disclosed to Releasee any physical or medical condition that could materially affect Releasor's ability to participate safely in the Activity.

6. NO ADMISSION

This Waiver is not, and shall not be construed as, an admission of liability by any party. The parties agree that this Waiver is a contractual allocation of risk and shall not be used as evidence of negligence or wrongdoing except to the extent necessary to enforce the terms hereof.

7. SCOPE AND DURATION

This Waiver applies to all Claims arising before, during and after Releasor's participation in the Activity, including Claims that may arise after execution of this Waiver. The obligations of Releasor under this Waiver shall survive termination or completion of the Activity.

8. CONSIDERATION

Releasor acknowledges that the consideration for this Waiver is the opportunity to participate in the Activity and the provision of facilities, services or access by Releasee. Releasor affirms that such consideration is adequate and sufficient.

9. NOTICE OF CLAIMS

Any notice required or permitted under this Waiver shall be in writing and delivered to the addresses provided below. Notice shall be deemed given when personally delivered or three (3) days after deposit in the United States mail, postage prepaid, addressed as follows.

10. GOVERNING LAW

This Waiver shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: State/Province: .

11. ENTIRE AGREEMENT

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral.
