LEGAL WINDOWS AGREEMENT

This Legal Windows Agreement ("Agreement") is made effective as of Effective Date: , by and between Client Name: , a party engaged in the ownership or management of the property described below, and Contractor Name: , a licensed installer and supplier of fenestration products. The Client and Contractor are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Client is the owner or authorized representative of the property located at Project Address: ;

WHEREAS, Contractor is engaged in the business of supplying, fabricating and installing windows and related materials and possesses the skill, experience, and licenses necessary to perform the services described herein; and

WHEREAS, Client desires to retain Contractor, and Contractor agrees to supply and install windows and ancillary services in accordance with the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Work" means the supply, fabrication, delivery, installation, testing and final adjustment of windows, frames, glazing, flashing, and associated materials and labor as described in the Scope of Work. 1.2 "Contract Price" means the total monetary amount payable by Client to Contractor for full performance of the Work, as set forth in Section 4.

2. SCOPE OF WORK

Contractor shall perform the Work in a professional and workmanlike manner in accordance with industry standards, the specifications set forth in this Agreement, and any project drawings or schedules provided by Client and accepted by Contractor.

3. MATERIALS AND STANDARDS

Contractor shall furnish materials that are new, of good quality, and in conformance with the specifications set forth in the Scope of Work. Materials used shall comply with applicable codes and regulations. Substitutions are permitted only upon written approval by Client. Contractor will deliver manufacturer warranties, product data, and maintenance instructions to Client upon completion.

4. CONTRACT PRICE; PAYMENT TERMS

4.1 Contract Price. Client shall pay Contractor the Contract Price of USD, subject to adjustments for approved Change Orders.

4.2 Payment Schedule. Payments shall be made as follows:

4.3 Late Payments. Any sum not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus all costs of collection, including reasonable attorney's fees.

5. CHANGE ORDERS

Client may request changes to the Work. No change shall be binding unless agreed in a written Change Order signed by both Parties specifying the change in scope, any adjustment to Contract Price, and any change to the schedule. Contractor shall not be required to perform work beyond the written Change Order.

6. ACCEPTANCE; FINAL INSPECTION

Upon substantial completion, Contractor will notify Client in writing and request final inspection. Client shall inspect the Work within seven (7) calendar days after notice and shall either issue a written acceptance or a written punch list of items to be corrected. Failure to timely provide written punch list shall constitute acceptance of the Work.

7. WARRANTIES

Contractor warrants that the Work shall be free from defects in workmanship for a period of from the date of final acceptance. Manufacturer warranties for glazing and frames shall be passed through to Client where transferable. Remedies for breach of this warranty shall be limited to repair or replacement of defective items at Contractor's expense, provided Contractor is given prompt written notice and a reasonable opportunity to inspect and perform repairs.

8. INSURANCE AND LICENSES

Contractor shall maintain at its expense insurance customary to the industry, including commercial general liability, workers' compensation, and automobile liability coverage with minimum limits as required by applicable law or as otherwise specified herein. Contractor shall maintain all required licenses and permits for performance of the Work and shall provide proof upon request.

9. INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Client and its agents from and against all liabilities, losses, damages, costs and expenses (including reasonable attorney's fees) arising out of Contractor's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by Client's negligence or breach.

10. LIMITATION OF LIABILITY

Except for liability resulting from fraud or willful misconduct, in no event shall either Party be liable for consequential, incidental, indirect or special damages. The aggregate liability of Contractor for any claim arising under or related to this Agreement shall not exceed the Contract Price paid by Client to Contractor.

11. TERMINATION

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within thirty (30) days after receipt of written notice. Upon termination, Client shall pay Contractor for Work performed and unrecoverable costs incurred through the effective date of termination.

12. NOTICES

All notices under this Agreement must be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or delivered by nationally recognized overnight courier to the addresses set forth below:

13. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both Parties. Failure or delay by either Party to enforce any right shall not be deemed a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

15. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, together with all attachments, exhibits and executed Change Orders, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. If any provision of this Agreement is adjudicated invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

16. MISCELLANEOUS

The Parties shall cooperate to execute documents and take such actions as may be reasonably necessary to carry out the intents and purposes of this Agreement. The Parties acknowledge that they have read and understood this Agreement and that they have authority to bind the entity for which they sign.
