Effective as of the Effective Date, Withdrawor hereby irrevocably withdraws, assigns, conveys and relinquishes to Recipient all of Withdrawor's right, title, interest and estate in and to the rights, claims, privileges and obligations described in the original instrument identified above (Withdrawn Interest). Withdrawor shall take all further acts and execute all further documents reasonably necessary to effectuate the withdrawal.

1.2 Exclusion of Liabilities. Except as expressly set forth in this Certificate, Withdrawor shall have no further rights with respect to the Withdrawn Interest and shall not be entitled to any distributions, benefits or rights arising after the Effective Date. Any liabilities arising prior to the Effective Date remain subject to the allocation in Section 4 and any disclosed exceptions.

2. EFFECT OF WITHDRAWAL; COVENANTS

2.1 Acceptance. Recipient accepts the withdrawal and agrees to assume only the obligations expressly identified in this Certificate. Acceptance by Recipient shall not be construed as a novation of other obligations unless explicitly agreed in writing.

2.2 Further Assurances. Each party shall execute and deliver such further instruments and take such further action as may be necessary or desirable to effectuate the purposes and intent of this Certificate.

3. CERTIFICATIONS AND REPRESENTATIONS

3.1 Withdrawor Certification. Withdrawor represents and warrants that (a) it has the full corporate or legal power and authority to execute and deliver this Certificate and to perform its obligations hereunder; (b) no bankruptcy, insolvency or similar proceeding is pending against Withdrawor that would impair its ability to perform; and (c) except as disclosed in the Disclosure Statement below, there are no undisclosed liens, claims or encumbrances affecting the Withdrawn Interest.

3.2 Authority of Recipient. Recipient represents and warrants that it has the requisite authority and capacity to accept the withdrawal and to undertake the obligations accepted hereby. Each party further warrants that the execution and delivery of this Certificate does not violate any material agreement, law or order binding on such party.

4. RELEASE; INDEMNIFICATION

4.1 Release by Withdrawor. Upon the Effective Date, Withdrawor releases and forever discharges Recipient from any obligations arising solely from the Withdrawn Interest occurring after the Effective Date. This release does not affect obligations expressly retained by Withdrawor pursuant to this Certificate.

4.2 Indemnification. To the extent permitted by law, Withdrawor and Recipient shall indemnify, defend and hold each other harmless from and against any and all third-party claims, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising from breaches of representations, warranties or covenants made by the indemnifying party in this Certificate, except to the extent such claims arise from the indemnified party's own gross negligence or willful misconduct.

5. NOTICES

All notices, requests, demands and other communications required or permitted under this Certificate shall be in writing and shall be delivered personally, by certified mail (postage prepaid, return receipt requested), or by nationally recognized overnight courier service to the addresses set forth below or such other addresses as a party may specify by written notice.

6. GOVERNING LAW; VENUE

This Certificate shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes arising under this Certificate.
