7. INDEMNIFICATION

7.1 Indemnification by Withdrawing Party. Subject to the limitations set forth herein, the Withdrawing Party agrees to indemnify, defend and hold harmless the Continuing Party from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of the Withdrawing Party’s breach of this Withdrawal or the Withdrawing Party’s acts or omissions prior to the Effective Date, except to the extent resulting from the Continuing Party’s gross negligence or willful misconduct.

7.2 Indemnification by Continuing Party. The Continuing Party agrees to indemnify the Withdrawing Party for claims arising from the Continuing Party’s actions after the Effective Date, to the extent such claims arise from the Continuing Party’s negligence or willful misconduct.

8. CONFIDENTIALITY

8.1 Except as required by law, the parties shall keep the terms and existence of this Withdrawal confidential and shall not disclose this Withdrawal to any third party without the prior written consent of the other party, provided that disclosure to legal counsel, accountants, and as required by applicable law or court order is permitted if the disclosing party uses reasonable efforts to obtain confidential treatment.
