2.2 Retention of Copies. Withdrawing Party may retain copies of work product and other materials generated by Withdrawing Party in accordance with applicable professional obligations, provided that any retained materials shall be treated as confidential.

3. FEES, EXPENSES, AND ACCOUNTING

3.1 Final Accounting. Withdrawing Party will prepare and deliver to Recipient Party a final billing statement reflecting fees earned and expenses incurred up to the Effective Date. Recipient Party shall pay any undisputed balance within thirty (30) days of receipt of the final statement.

3.2 Lien Rights. To the extent permitted by law, Withdrawing Party retains any statutory or common law lien for fees and costs incurred prior to withdrawal on documents or proceeds in Withdrawing Party's possession.

4. COOPERATION

4.1 Assistance. Both parties agree to cooperate in good faith to effectuate the withdrawal, including executing releases, authorization forms, or directions necessary to transfer files, communications, or responsibilities to successor counsel or other designees designated by Recipient Party.

8. MISCELLANEOUS
