LEGAL WORK ORDER FORM

This Work Order is made effective as of Effective Date: by and between Client Name: with principal address at Client Address: , and Service Provider Name: with principal address at Provider Address: . The Client and the Service Provider are sometimes referred to herein individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, the Client requires legal services and advice relating to the matters described in Section 1 (the "Matter"); and

WHEREAS, the Service Provider is duly qualified and agrees to provide legal services to the Client on the terms and conditions set forth in this Work Order; and

WHEREAS, the Parties desire to set forth the scope, fees, and other terms governing the provision of services for the Matter.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. SCOPE OF WORK

1.1 Services. The Service Provider shall provide legal services to the Client in connection with the Matter, including but not limited to the following tasks and deliverables:

1.2 Itemized Work. The Parties anticipate the following itemized services and estimates. These line items are estimates; the Service Provider shall notify the Client if additional services or material changes are required.

2. FEES; BILLING; PAYMENT

2.1 Fees. Unless otherwise agreed in writing, the Client shall pay the Service Provider at the rates set forth in Section 1 and any agreed flat fees. The Parties acknowledge that any estimate is not a fixed fee unless expressly stated.

2.2 Retainer. Client shall pay a retainer in the amount of Retainer Amount: upon execution of this Work Order, which shall be held in a trust or client account and applied against final invoices in accordance with applicable professional rules.

2.3 Billing; Payment Terms. Service Provider shall issue monthly invoices describing services rendered, personnel, time expended, and expenses. Payment is due within days of invoice date. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law.

3. EXPENSES

3.1 Reimbursable Expenses. Client shall reimburse reasonable out-of-pocket expenses incurred by the Service Provider in connection with the Matter, including filing fees, court reporter fees, travel, courier, and document reproduction. Expense cap, if any: .

4. TERM AND TERMINATION

4.1 Term. This Work Order shall commence on the Effective Date and shall continue until completion of the services described in Section 1 or until earlier termination under this Section.

4.2 Termination. Either Party may terminate this Work Order for any reason upon written notice delivered to the other Party. Termination shall not affect the Client's obligation to pay for services performed and expenses incurred through the effective date of termination. Notice period (if required): days.

5. CONFIDENTIALITY; PRIVILEGE

5.1 Confidential Information. Each Party acknowledges that, in the course of the performance of this Work Order, the other Party may disclose confidential or proprietary information. Except as required by law or as necessary to perform the services hereunder, the receiving Party shall keep such information confidential and shall not disclose it to third parties without prior written consent.

5.2 Attorney-Client Privilege. The Service Provider shall assert and preserve attorney-client privilege and work product protections for communications and materials prepared in connection with the Matter, subject to the Client's instructions and applicable law.

6. CONFLICTS; REPRESENTATIONS

6.1 Conflicts. The Service Provider represents that it has conducted reasonable conflict checks and, to the best of its knowledge, no conflict exists other than as set forth here: . The Service Provider shall promptly notify the Client if a conflict arises.

6.2 Authority. Each Party represents and warrants that it has full power and authority to enter into and perform this Work Order and that execution of this Work Order does not violate any other agreement to which it is a party.

7. CLIENT COOPERATION

7.1 Cooperation. The Client shall timely provide all information, documentation, and access to personnel as reasonably required by the Service Provider to perform the services. Failure to cooperate may result in additional fees and reasonable delay.

8. OWNERSHIP OF WORK PRODUCT; FILE RETENTION

8.1 Work Product. Subject to the Service Provider's ethical obligations and applicable law, all final deliverables prepared specifically for the Client under this Work Order shall be the property of the Client upon payment in full. The Service Provider may retain copies of work product and underlying records as required or permitted by professional obligations.

8.2 File Retention. The Service Provider may retain physical or electronic files for its records. The Parties agree that the Service Provider may destroy files after a reasonable retention period unless the Client requests delivery of originals in writing.

9. INDEMNIFICATION; LIMITATION OF LIABILITY

9.1 Indemnification. Each Party shall indemnify, defend, and hold harmless the other Party from and against any third-party claims arising out of the indemnifying Party's gross negligence, willful misconduct, or material breach of this Work Order.

9.2 Limitation of Liability. Except for liability arising from gross negligence or willful misconduct, the aggregate liability of the Service Provider for any claim arising under this Work Order shall not exceed the total fees paid by the Client to the Service Provider under this Work Order during the twelve (12) months preceding the claim.

10. INSURANCE; COMPLIANCE

10.1 Insurance. The Service Provider shall maintain professional liability insurance in an amount customary for the practice. Evidence of insurance shall be provided upon reasonable request.

10.2 Compliance. Each Party shall comply with applicable laws, rules, and regulations in performing its obligations under this Work Order.

11. NOTICES

All notices under this Work Order shall be in writing and delivered to the addresses set forth below (or to such other address as a Party may designate by notice). Notices shall be effective upon delivery.

12. GOVERNING LAW

This Work Order shall be governed by and construed in accordance with the laws of the Governing State: , without regard to conflicts of law principles.

13. ENTIRE AGREEMENT; SEVERABILITY

This Work Order, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior agreements, understandings, and representations. If any provision of this Work Order is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and the Parties shall negotiate in good faith to replace the invalid or unenforceable provision with a valid provision that most nearly achieves the Parties' intent.

14. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment or modification of this Work Order must be in writing and signed by both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right. This Work Order may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one agreement. The Parties agree that counterparts exchanged by electronic transmission shall be deemed originals.

15. MISCELLANEOUS

15.1 Assignment. Neither Party may assign this Work Order without the prior written consent of the other Party, except that the Service Provider may assign receivables arising from invoices.

15.2 Independent Contractor. The Service Provider shall perform services as an independent contractor and not as an employee, partner, or agent of the Client.
