RECITALS

WHEREAS, Client has consulted with Firm concerning the matter identified above and has requested an initial compilation of facts, issues, and proposed actions to permit Firm to evaluate and proceed with representation; and

For purposes of this Worksheet, "Client" means the entity or person identified above; "Firm" means the law firm or legal representative identified above; "Confidential Information" means non-public information exchanged between the parties in connection with the Matter; and "Deliverables" means the written memoranda, lists of issues, or other documents prepared by Firm pursuant to this Worksheet.

4. AUTHORITY AND REPRESENTATIONS

Client represents and warrants that the person executing this Worksheet on behalf of Client has full authority to bind Client to the terms herein. Client will promptly notify Firm in writing of any limitation on authority, factual inaccuracy, or conflict of interest that may affect Firm's representation.

5. CONFIDENTIALITY AND ATTORNEY-CLIENT PRIVILEGE

All communications made in connection with the Matter are intended to be protected by the attorney-client privilege and constitute Confidential Information. Neither party will disclose Confidential Information to third parties except as required by law or with prior written consent of the other party. Client acknowledges that disclosure of confidential materials to third parties may waive privilege.

6. RECORDS, DOCUMENTS, AND RETENTION

Client will deliver all documents relevant to the Matter to Firm in a timely manner. Firm will maintain working files, which may include documents provided by Client and internal memoranda. Retention of original physical documents shall be governed by the parties' separate agreement or, absent such agreement, by Firm's standard retention policy as disclosed to Client in writing.

This Worksheet is not a fee agreement. Any fees and costs for work outside the preliminary analysis will be established in a separate engagement letter or written agreement. 9. AMENDMENTS, WAIVER, AND COUNTERPARTS

This Worksheet may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right or remedy under this Worksheet constitutes a waiver of that right unless evidenced by a writing signed by the waiving party. This Worksheet may be executed in counterparts, each of which is an original and all of which together constitute one instrument.

10. NOTICES

All notices required or permitted under this Worksheet must be in writing and delivered to the contact information below for each party. Notices are effective upon receipt.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Worksheet is governed by and construed in accordance with the substantive laws of the jurisdiction selected by the parties below, without regard to principles of conflicts of law. This Worksheet constitutes the entire agreement between the parties with respect to the preliminary matters described herein and supersedes all prior oral or written communications on such subject. If any provision of this Worksheet is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

12. LIMITATION OF LIABILITY

Except as required by applicable law, Firm's liability for any claim arising out of or related to this Worksheet shall be limited to direct damages and shall not include punitive, special, incidental or consequential damages. Nothing in this paragraph limits Client's ability to pursue remedies for intentional misconduct or gross negligence.

13. COUNTERPARTY ACKNOWLEDGMENTS

The parties acknowledge that this Worksheet is an administrative document intended to record preliminary understandings and does not, by itself, create an attorney-client relationship beyond the limited preliminary scope described herein except as expressly stated. Any broader representation will be established only by a separate written engagement agreement signed by both parties.
