Recitals

WHEREAS, Party A is empowered to request legislative drafting, policy research, stakeholder engagement support, and related services for public consideration pursuant to its internal rules and authorities; and

WHEREAS, Party B represents that it has the technical expertise, experience, and personnel necessary to perform the services described in this Agreement and is willing to provide such services to Party A under the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the Parties agree as follows.

Scope of Work

Deliverables, schedules, and acceptance criteria shall be described in the Scope of Work above and any attachments incorporated by reference. Any material change in scope, schedule, or staffing requires prior written approval by the authorized representatives of both Parties.

Payment Terms

Compensation: Party A shall pay Party B a total fee of $ for the services described herein, subject to the payment schedule below.

Late Payments: Any undisputed amount not paid when due shall accrue interest at the rate of or the maximum rate permitted by law, whichever is lower. Party B shall provide itemized invoices in reasonable detail, and Party A shall pay undisputed invoice amounts within days of receipt.

Term and Termination

Term: This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this section.

Termination for Convenience: Either Party may terminate this Agreement for convenience upon written notice delivered to the other Party at least days prior to the effective date of termination.

Termination for Cause: Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Effect of Termination: Upon termination, Party B shall deliver all work product completed through the termination date and shall be entitled to payment for all undisputed services performed and reimbursable expenses incurred through the termination date, subject to setoff for damages resulting from any breach.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one Party to the other that is designated in writing as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving Party shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information solely to perform obligations under this Agreement, and (iii) restrict disclosure to those employees, advisors, or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Exceptions: Confidential Information does not include information that (a) is or becomes publicly available without breach; (b) was known by the receiving Party prior to disclosure as demonstrated by written records; (c) is received from a third party without breach of an obligation of confidentiality; or (d) is independently developed without use of the disclosing Party's Confidential Information.

Remedies and Survival: The Parties acknowledge that a breach of this confidentiality provision may cause irreparable harm for which monetary damages may be inadequate; accordingly, in addition to other remedies, the disclosing Party may seek injunctive or equitable relief. The confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, except for trade secrets, which shall survive for the period required by applicable law.

Intellectual Property and Work Product

Work Product: All deliverables, legislative drafts, reports, and materials created by Party B specifically for Party A under this Agreement shall be the sole and exclusive property of Party A upon payment in full, except as otherwise expressly agreed in writing. Party B hereby assigns and transfers to Party A all right, title, and interest in such Work Product.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction of , without regard to conflict of law principles.

Indemnification

Each Party shall indemnify, defend, and hold harmless the other Party, its officers, agents, and employees from and against any claims, losses, liabilities, damages, and expenses arising out of the indemnifying Party's negligent acts, omissions, or willful misconduct in the performance of this Agreement, subject to applicable limitations of liability set forth herein.

Entire Agreement; Amendments

This Agreement, together with any attachments, exhibits, and incorporated statements of work, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, or communications, whether written or oral. No modification, amendment, or waiver of any provision shall be effective unless in writing and signed by authorized representatives of both Parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail, or certified courier service to the addresses set forth above or such other address as either Party may designate by written notice to the other.
