RECITALS

WHEREAS, Lender and Borrower previously entered into a certain Loan Agreement and related documents describing the terms, amount, and security of a loan (the Loan Agreement), pursuant to which Lender agreed to make loans to Borrower on the terms set forth therein; and

WHEREAS, the parties desire to evidence their agreement to be bound by the terms of the Loan Agreement and to set forth certain acknowledgments, representations, and procedures for execution, delivery and notices as applicable to that Loan Agreement;

WHEREAS, capitalized terms used in this Signature Page and not otherwise defined shall have the meanings assigned to them in the Loan Agreement.

NOW, THEREFORE, in consideration of the foregoing and the mutual covenants contained herein, the parties agree as follows:

1. Acknowledgment; Effective Date

1.1 Acknowledgment. Each party hereby acknowledges and agrees that this Signature Page and any counterpart signatures constitute an integral part of the Loan Agreement. By executing this Signature Page the undersigned parties confirm their assent to be bound by the terms and conditions of the Loan Agreement as of the Effective Date identified above.

2. Incorporation

2.1 Incorporation. This Signature Page is incorporated into and made a part of the Loan Agreement. All representations, warranties, covenants, conditions and other provisions of the Loan Agreement apply to the parties signing below with the same force and effect as if fully set forth herein.

3. Representations and Warranties

3.1 Authority and Enforceability. Each party represents and warrants that it is duly organized and validly existing, has full power and authority to execute and deliver this Signature Page and to perform its obligations hereunder, that the execution and delivery of this Signature Page has been duly authorized by all necessary action, and that when executed and delivered it will be a legal, valid and binding obligation enforceable against such party in accordance with its terms.

3.2 No Conflicts. The execution and performance of this Signature Page will not (a) violate any provision of the organizational documents of such party, (b) breach or constitute a default under any material agreement to which such party is subject, or (c) conflict with, result in a material breach of, or permit acceleration under, any material obligation of such party.

4. Notices

4.1 Notices. Any notice required or permitted under the Loan Agreement or this Signature Page shall be delivered to the address for each party set forth below (or to such other address as a party may designate by notice in accordance with this Section). Such notices shall be effective when delivered in accordance with the notice provisions of the Loan Agreement.

5. Amendments; Waiver

5.1 Amendments and Waivers. No amendment, modification or waiver of any provision of the Loan Agreement or this Signature Page shall be effective unless in writing and signed by the party against whom enforcement is sought. No course of dealing or failure to insist upon strict performance shall be construed as a waiver of any right or remedy.

6. Counterparts; Electronic Execution

6.1 Counterparts. This Signature Page may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or other electronic means shall be binding and deemed originals for all purposes.

7. Governing Law; Severability; Entire Agreement

7.1 Governing Law. The Loan Agreement and this Signature Page shall be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to conflict of law principles.

7.2 Severability. If any provision of this Signature Page is held to be invalid, illegal or unenforceable, that provision shall be enforced to the maximum extent permissible and the remainder of this Signature Page shall remain in full force and effect.

7.3 Entire Agreement. This Signature Page, together with the Loan Agreement and any other documents expressly incorporated therein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, both written and oral, between the parties with respect to such subject matter.
