This Lender Compliance Agreement (the "Agreement") is entered into between the Lender identified above and the Borrower identified above. The Lender acknowledges and agrees that, as a condition of the extension of credit or maintenance of the referenced loan, the Lender shall comply with the covenants, representations, reporting requirements, audit rights and other obligations set forth herein.

Representations and Warranties of the Lender

The Lender represents and warrants that, as of the Effective Date and throughout the term of the loan, the Lender will: (a) maintain all required licenses, registrations and authorizations necessary to originate, fund and service the loan; (b) conduct its lending and servicing activities in conformity with applicable federal, state and local consumer protection, privacy and anti-money laundering laws and regulations; and (c) maintain policies, procedures and training reasonably designed to ensure continued compliance with such laws.

Covenants and Compliance Obligations

1. Compliance Programs: The Lender shall implement and maintain written compliance programs, including whistleblower and escalation procedures, to identify, remediate and prevent violations of applicable law relating to origination, servicing, disclosures and recordkeeping for the loan.

2. Consumer Disclosures and Notices: The Lender shall timely provide all disclosures, notices and statements required by law and by the terms of the loan documents, and shall retain records sufficient to demonstrate timely and correct delivery.

3. Anti-Fraud and AML: The Lender shall maintain and apply reasonable controls to detect and report fraud, suspected money laundering, or other financial crimes in accordance with applicable law, and shall notify the Borrower or designated recipient of any material event affecting loan performance or compliance.

4. Fair Lending: The Lender shall not discriminate on any prohibited basis in origination, pricing, underwriting, servicing or collection activities and shall retain documentation evidencing underwriting decisions and pricing determinations.

Reporting; Audit and Inspection Rights

The Lender shall provide periodic compliance reports and, upon reasonable notice, permit inspection and audit of books, records, policies and files related to the loan by the Borrower or its authorized representatives to verify compliance with this Agreement. Audits shall be conducted during normal business hours and in a manner that minimizes disruption.

Recordkeeping and Retention

The Lender shall retain loan origination and servicing records, electronic and physical, for a minimum period of from the date of final payment or termination of the loan, or longer where required by law. Records shall be made available upon written request for audit or regulatory review.

Indemnification and Remedies

The Lender agrees to indemnify, defend and hold harmless the Borrower and its agents from and against any losses, liabilities, claims, damages, fines or expenses arising from the Lender's breach of this Agreement or violation of applicable law, including reasonable attorneys' fees. Remedies shall include, at Borrower's election, monetary damages, indemnity, specific performance or termination of credit arrangements.

Notice

All notices, requests and communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below or to such other address as a party may designate by notice. Delivery by personal delivery, certified mail, courier or nationally recognized overnight delivery service shall be effective upon receipt.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State selected by the parties. If any provision of this Agreement is determined to be invalid or unenforceable, the remainder shall remain in full force and effect. No amendment shall be effective unless in writing signed by both parties. This Agreement may be executed in counterparts, each of which shall be deemed an original.

Certifications

By executing this Agreement the Lender certifies that the representations, warranties and covenants contained herein are true and correct to the best of the Lender's knowledge and that the Lender will promptly notify the Borrower of any material change in circumstances affecting such certifications.
