What a Lender Lock Agreement Is and when it applies

A Lender Lock Agreement documents a lender's commitment to provide a loan at specified interest rate and terms for a defined period, typically during a mortgage application or construction financing process. It creates a contractual window in which the lender guarantees the quoted rate and basic loan terms provided borrower eligibility and conditions are met. The agreement usually specifies effective and expiration dates, borrower and property identifiers, rate details, lock fees or credits, and conditions that will void the lock. It is used to manage market risk between rate quote and loan closing, and to set expectations for both parties.

Why the Lender Lock Agreement matters to lenders and borrowers

A Lender Lock Agreement reduces uncertainty by fixing rate and terms for a limited time, which protects borrowers from market swings while the loan moves toward closing.

Why the Lender Lock Agreement matters to lenders and borrowers

Who prepares and signs a Lender Lock Agreement

Typical users include loan officers, mortgage lenders, brokers, closing coordinators, and borrowers who need a documented rate commitment.

  • Loan officers and mortgage lenders who issue rate locks to borrowers for mortgages or refinances.
  • Mortgage brokers acting on behalf of borrowers to secure a rate with a specific lender.
  • Borrowers or authorized signers who must accept the lock terms and any related fees in writing.

The document also involves underwriters and secondary market partners when commitments may be sold or pooled ahead of closing.

Essential sections found in a professional Lender Lock Agreement

A complete agreement organizes the commitment terms, effective window, borrower identity, property details, fees, and exceptions so each party can confirm obligations and next steps.

Lock Term

Specifies the lock start and expiration dates, and any automatic extensions or short-date provisions relevant to closing delays and rate protection.

Rate and Points

Records the exact interest rate, discount points, origination points, and whether the rate is fixed or float-to-fixed under specified conditions.

Fees and Credits

Lists lock-related charges, reimbursement obligations, or lender credits; explains when fees apply, refund conditions, and how fees affect APR.

Conditions and Contingencies

Sets borrower and property conditions (credit, appraisal, title) required to keep the lock valid and identifies events that void or adjust the rate.

Assignment Rights

Notes whether the lender may assign or sell the loan or lock commitment to a third party and how assignment affects borrower rights.

Signatures and Dates

Provides authorized signature blocks for lender and borrower, with printed names, titles, dates, and any required witness or notarization lines.

Typical timelines and deadlines for a rate lock

Locks are time-limited and tied to closing milestones; missing deadlines can change rate availability or trigger fees.

Lock Start Date:

Date when rate commitment becomes effective

Lock Expiration:

End date after which rate is no longer guaranteed

Short-Rate Conversion:

Earlier closing may require adjustment to points or rate

Extension Window:

Terms and fees for extending a lock

Closing Target:

Date by which borrower must close to retain lock

Common mistakes to avoid when preparing a Lender Lock Agreement

  • Failing to record the exact effective and expiration dates, which can lead to disputes if market rates move before closing.
  • Leaving conditions ambiguous, for example not specifying appraisal or credit score thresholds that will void the lock.
  • Using inconsistent borrower names or property identifiers between the loan application and the lock agreement.
  • Not capturing a clear signature authorization or failing to retain the full audit trail for an electronically signed lock.

Consequences of incorrect or missing lock documentation

Rate Exposure: Market risk
Fee Liability: Lock extension fees
Funding Delay: Closing postponement
Investor Putback: Repurchase risk
Regulatory Risk: Disclosure issues
Recordkeeping: Audit failures
