LETTER CONFIRMING NONCONFIDENTIALITY OF PROPOSAL Name and Address of Proposed Seller Dear ____: You have asked us to consider purchasing certain oil and gas properties from you which are identified in Exhibit “A” to this letter. As a part of your proposal, you have submit ted certain information and materials, described in Exhibit “B” (the “Information”). We have not asked you to provide the Information. You are voluntarily providing it for our consideration as a part of your effort to obtain a favorable review and consideration of your proposal. You have represented to us that the Information is not confidential information. If we review the Information, we will do so as a part of the process of evaluating your proposal and determine its merits for our Company. You understand and agree that we shall not be, or become, obligated to you in any way as a result of reviewing the Information. You understand and agree that we have no obligation to accept your proposal, whether or not we review the Information, and have the sole and absolute discretion to reject your proposal for a ny reason we deem proper. By your execution of this letter, you are agreeing to these terms and agreeing that we will incur no liability to you for reviewing the Information, whether or not your proposal is accepted. You specifically waive and release any right to compensation for providing any of the Information and agree to indemnify us from and against the claims of any third party who m ay assert rights in or to the Information.
