5. Exclusivity / No-Shop

From the Effective Date and continuing for days, Seller shall not solicit, negotiate, or enter into any agreement with any third party regarding the sale of the assets or business described herein. Any breach of this provision shall entitle Buyer to injunctive relief and to pursue other remedies available at law or equity.

6. Closing

The parties anticipate a target closing on or about Day Month Year (the "Closing Date"), subject to satisfaction or waiver of the conditions set forth in the Purchase Agreement.

The foregoing representations are preliminary and are intended to be superseded by more detailed representations and warranties in the Purchase Agreement.

9. Confidentiality

The parties agree that all non-public information exchanged in connection with this Letter and the contemplated transaction shall be maintained in confidence and used solely for the purpose of evaluating and consummating the transaction, subject to disclosures required by law. This Letter may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

15. Entire Agreement; Severability

This Letter constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements. If any provision of this Letter is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that accomplishes the original intent.

What a Letter of Intent for Sale Is and when it’s used

A Letter of Intent for Sale (LOI for Sale) is a written statement that summarizes the principal terms for a proposed sale of assets, business interests, or real property and signals the parties’ intent to negotiate a definitive agreement. LOIs often cover price, payment terms, basic closing conditions, exclusivity periods, and confidentiality provisions; they may be binding on specific elements (such as confidentiality or exclusivity) while leaving the final sale contract subject to further negotiation. LOIs streamline negotiations by documenting mutual expectations before due diligence and contract drafting begin.

Why a clear Letter of Intent for Sale matters

A well-drafted LOI reduces misunderstandings, frames due diligence, and sets timing and deal parameters so both parties proceed with aligned expectations. It can preserve negotiation leverage and limit costly rework during contract drafting.

Why a clear Letter of Intent for Sale matters

Who commonly prepares or signs a Letter of Intent for Sale

Typical authors and signers include corporate buyers, sellers, business brokers, and real estate agents who need a written summary of deal terms before drafting a purchase agreement.

  • Buyers and their counsel who want to fix key commercial terms and start due diligence quickly.
  • Sellers and listing agents who want a record of proposed price, timing, and exclusivity conditions.
  • Intermediaries (brokers or M&A advisors) who manage negotiations and collect offers in standardized form.

The LOI is a negotiation tool; parties often engage counsel before signing if binding commitments or significant risks are proposed.

Step-by-step: Fill out and use a Letter of Intent for Sale

Follow a clear sequence: draft, review, exchange, sign, and begin due diligence according to deadlines set in the LOI.

  • 01
Draft LOI: Summarize terms, price, deposit, and key conditions.
  • 02
Counsel Review: Have attorneys check binding language and contingencies.
  • 03
Exchange & Sign: Deliver signed copies to all parties and escrow when required.
  • 04
Begin Due Diligence: Start inspections, financial review, and document requests.

Where to send a completed Letter of Intent for Sale

An LOI is usually exchanged between buyer and seller or their authorized representatives and may be shared with advisors, lenders, or escrow agents as specified.

  • Seller Representative: Deliver signed copy to listing agent or seller counsel.
  • Buyer Representative: Buyer’s counsel or agent retains an executed original.
  • Escrow Agent: Provide copy if deposit is escrowed.
  • Lender / Investor: Share with financing parties per LOI terms.

Key clauses to include in a professional LOI

State the purchase price and any price allocation or earn-out mechanics to avoid later disputes.

Deposit

Define deposit amount, escrow agent, refund conditions, and treatment at closing.

Exclusivity

Common mistakes when preparing a Letter of Intent for Sale

  • Using vague descriptions for assets or liabilities that later complicate drafting a definitive agreement.
  • Failing to state whether the LOI is binding on any clause, causing disagreement over enforceability.
  • Omitting clear deadlines for acceptance, due diligence, or closing, which leads to missed timelines.
  • Not confirming signatory authority; unsigned or unauthorized LOIs can be rejected or create disputes.

Misrepresentation: Liability for false statements
Tax Exposure: Reporting obligations may arise
