WHEREAS, Provider is engaged in organizing, operating, and supervising the activity described below and has facilities, equipment, or services related to that activity; and

WHEREAS, Participant desires to voluntarily participate in the activity and acknowledges that participation entails certain inherent risks; and

WHEREAS, the parties wish to set forth the terms under which Participant releases certain claims against Provider and agrees to assume risks and indemnify Provider as provided below.

Release, Assumption of Risk and Indemnity

Participant voluntarily and knowingly assumes all risks, whether known or unknown, inherent in participation in the activity described above, including but not limited to personal injury, property damage, and death. Participant understands that these risks may arise from negligence of Provider, its employees, agents, volunteers, or other participants, and nevertheless chooses to participate.

In consideration of being permitted to participate, Participant, on behalf of himself or herself and his or her heirs, executors, and assigns, releases, waives, discharges, and covenants not to sue Provider, its owners, officers, directors, employees, agents, contractors, and volunteers (collectively the Released Parties) from any and all claims, demands, causes of action, liabilities, losses, costs, and expenses arising from injury to person or property, including death, whether caused by the negligence of the Released Parties or otherwise, to the fullest extent permitted by law.

Participant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, damages, liabilities, losses, expenses, and costs (including reasonable attorneys' fees) arising out of or resulting from Participant's negligent acts or omissions or willful misconduct in connection with participation in the activity.

Medical Treatment and Representations

Participant represents that he or she is physically able to participate in the activity and has not been advised otherwise by a qualified medical professional. Participant authorizes Provider and its agents to secure emergency medical treatment on Participant's behalf if necessary and agrees to be financially responsible for such treatment.

Publicity and Media Release

Participant grants Provider the right to photograph, record, and use Participant's name, image, voice, and likeness in connection with promotional materials, provided such use is not defamatory. Participant waives any right to inspect or approve such uses and understands there will be no compensation for such use.

Confidentiality

Each party agrees to maintain the confidentiality of non-public information received from the other party in connection with this Agreement. Confidential information shall not include information already publicly known, independently developed, or rightfully received from a third party. This obligation survives termination of this Agreement for a period of two years.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the state identified by Provider's principal place of business. Any dispute arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in the county of Provider's principal place of business, and the parties consent to personal jurisdiction therein.

Severability and Entire Agreement

If any provision of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement will remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
