LIABILITY RELEASE WAIVER AGREEMENT

This Liability Release Waiver Agreement (the Agreement) is made effective as of , , by and between Releasee: (Releasee), and Releasor: (Releasor).

RECITALS

WHEREAS, Releasee organizes, sponsors, or permits the activity described as (the Activity) to occur on at ; and

WHEREAS, Releasor desires to participate in the Activity and acknowledges that participation involves inherent risks of property damage, personal injury, or death; and

WHEREAS, Releasee requires execution of this Agreement by participants to define the allocation of risks and responsibilities between the parties.

NOW, THEREFORE

In consideration of being permitted to participate in the Activity and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

"Released Parties" means Releasee and its officers, directors, employees, agents, volunteers, contractors, affiliates, and insurers. "Claims" means any and all demands, causes of action, suits, liabilities, losses, costs, expenses, fees, and damages whether at law or in equity.

2. ASSUMPTION OF RISK

Releasor acknowledges and agrees that participation in the Activity involves known and unknown risks including, without limitation, risks of physical injury, serious bodily harm, permanent disability, and death. Releasor voluntarily and expressly assumes all such risks, whether arising from the negligence of Released Parties or otherwise, to the fullest extent permitted by law.

3. RELEASE AND WAIVER

Releasor hereby unconditionally and irrevocably releases, waives, and discharges the Released Parties from any and all Claims, demands, actions, causes of action, or suits in law or equity, whether known or unknown, fixed or contingent, arising out of or relating to Releasor’s participation in the Activity, including but not limited to Claims arising from ordinary negligence of the Released Parties.

4. INDEMNIFICATION

Releasor agrees to defend, indemnify, and hold harmless the Released Parties from and against any and all Claims brought by third parties arising from Releasor’s actions or omissions in connection with the Activity, including reasonable attorneys' fees and costs incurred in defense of such Claims.

5. LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no event shall the Released Parties be liable for consequential, incidental, special, punitive, or exemplary damages arising out of or related to Releasor’s participation in the Activity, even if advised of the possibility of such damages.

6. MEDICAL TREATMENT; INSURANCE

Releasor authorizes Releasee and its representatives to obtain emergency medical treatment for Releasor if necessary. Releasor agrees that Releasee assumes no responsibility for payment of medical expenses and that Releasor is solely responsible for obtaining any health, accident, or other insurance coverage desired.

7. REPRESENTATIONS AND WARRANTIES

Releasor represents and warrants that Releasor is physically and mentally capable of participating in the Activity, has no medical condition that would make participation hazardous, and will comply with all rules, instructions, and safety procedures provided by Releasee.

8. ACKNOWLEDGMENT OF UNDERSTANDING

Releasor acknowledges that Releasor has read this Agreement in its entirety, understands its terms, and signs it freely and voluntarily. Releasor further acknowledges receipt of any safety information provided and had the opportunity to ask questions prior to signing.

9. MINOR PARTICIPANT (IF APPLICABLE)

If Releasor is under eighteen (18) years of age or otherwise a minor under applicable law, the undersigned parent or legal guardian certifies that they are authorized to execute this Agreement on the minor’s behalf and agrees to be bound by all terms herein.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Activity takes place, without regard to conflicts of law principles.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and such provision shall be modified to reflect the parties’ intent as nearly as possible.

14. AMENDMENT; WAIVER; COUNTERPARTS

No amendment, modification, or waiver of this Agreement shall be valid unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
