6. Representations and Warranties

Each party represents and warrants that it has the full right, power, and authority to enter into and perform this Agreement; that no other person or entity must join to make the Agreement effective; and that the execution and performance of this Agreement will not violate any other agreement or legal obligation.

What the Liability Time Waiver Form Is and When It's Used

The Liability Time Waiver Form is a written agreement used to relinquish or extend statutory or contractual timing rights related to claims, notices, or performance deadlines. Commonly used in construction, real estate closings, event contracts, and professional services, the form documents a party's consent to waive strict timing requirements—such as notice periods, cure windows, or lien filing deadlines—and establishes the new dates or conditions. The form should clearly identify parties, specify the waived time periods, state consideration if any, and indicate effective dates to reduce ambiguity and support enforceability under U.S. e-signature laws.

Why a Liability Time Waiver Form Matters

Using a Liability Time Waiver Form reduces disputes about deadlines by recording consent to modify timing obligations, creates clear evidence of mutual agreement, and can preserve contractual relationships while parties negotiate extensions or cure defaults. It aids enforceability when properly executed.

Why a Liability Time Waiver Form Matters

Who Uses the Liability Time Waiver Form

Typical users include contracting parties needing deadline flexibility, attorneys advising on waiver terms, and contract administrators managing timelines.

  • Contracting parties — owners, contractors, subcontractors involved in project schedules and notice requirements.
  • Real estate professionals — buyers, sellers, lenders adjusting closing or inspection deadlines.
  • Legal and risk teams — review, approve, and document scope of the waiver.

Keep a signed copy with contract records and notify affected stakeholders of revised deadlines to prevent future disputes.

Essential Elements of the Liability Time Waiver Form

Core components of a professional Liability Time Waiver Form define parties, waived periods, effective dates, consideration, signature blocks, and any conditional or revival clauses.

Parties

Identify each party by full legal name and role (for example, Owner, Contractor). Include entity type and authorized signatory details to ensure attribution and reduce disputes over who agreed to waive timing rights.

Waived Periods

Specify exact dates or duration for each waived obligation, describe triggering events, and state whether extensions are cumulative, conditional, or subject to further agreement to avoid ambiguity in enforcement.

Consideration

Record any consideration or compensation for the waiver—monetary, performance, or mutual concessions—or state explicitly that the waiver is gratuitous if no consideration is offered.

Effective Date

Use MM/DD/YYYY format and specify when the waiver takes effect and when any temporary extension expires; tie effective dates to calendar days and business days when relevant.

Signature Block

Provide signature lines for all parties with printed name, title, company, date signed, and a place for notary acknowledgment or witness details when required by state law.

Revival Terms

Include clauses that describe whether waived timing rights can be reinstated, conditions for revival, notice obligations, and how a party may withdraw or reserve future rights.

Critical Deadlines and Timeframes to Track

Key deadlines to track for Liability Time Waiver Forms include execution dates, notice windows, and any statutory deadlines that govern revocation or enforcement.

Execution Date Required:

Date signed sets when waiver takes effect.

Notice to Other Parties:

Deliver written notice within agreed timeframe or per contract clause.

Revocation Window:

If allowed, state the precise period and method for revocation.

Statute of Limitations Impact:

Record how waiver affects statutory filing or limitation deadlines.

Notary/ Witness Cutoff:

Note deadlines to obtain notary or witness signatures before expiration.

Common Preparation Mistakes to Avoid

  • Failing to specify exact dates or triggering events, which can render the waiver ambiguous and hamper enforcement if parties later dispute the intended time extension.
  • Omitting consideration or failing to state whether the waiver is conditional may allow one party to argue the waiver lacks consideration and is unenforceable under contract law.
  • Using informal methods of signature without documenting consent to electronic signing can create disputes under ESIGN or state law about whether a valid electronic signature exists.
  • Neglecting to check state-specific witness or notarization requirements risks invalidating the waiver in jurisdictions with stricter formalities or RON limitations.

Potential Risks and Consequences of Errors

Waiver Invalid: Unclear terms may render waiver unenforceable.
Statutory Deadlines Lost: Missed filing rights may be forfeited.
Liens or Claims: Delay can affect lien priority or rights.
Financial Penalties: Costs of late filings or interest.
Contract Breach: Counterparty may allege breach remedies.
Revocation Limits: Some waivers are irrevocable without mutual consent.
