LIABILITY WAIVER AGREEMENT

RECITALS

WHEREAS, Releasee organizes, operates, supervises, or provides access to the activity described as: (the "Activity"); and

WHEREAS, Participant desires to participate in the Activity and recognizes that participation involves inherent risks including but not limited to personal injury, property damage, and death; and

WHEREAS, the parties desire to allocate the risks and responsibilities associated with Participant's participation in the Activity, and to set forth the terms upon which Releasee will be released from certain liabilities.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement: (a) "Participant" means the individual identified above and any minor for whom a guardian signs below; (b) "Releasee" means the individual or entity identified above and, as applicable, its officers, directors, employees, agents, volunteers, contractors, and insurers; and (c) "Claims" means any and all demands, causes of action, suits, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) whether arising in contract, tort, equity, statute, or otherwise.

2. ASSUMPTION OF RISK

Participant expressly acknowledges and agrees that participation in the Activity is voluntary and involves inherent and other risks which may result in serious injury, illness, permanent disability, or death. Participant accepts and assumes all risks, whether known or unknown, foreseeable or unforeseeable, arising out of or relating to participation in the Activity, including risks caused in whole or in part by the negligence of Releasee.

3. RELEASE AND WAIVER

To the fullest extent permitted by law, Participant, on behalf of Participant and Participant's heirs, personal representatives, next of kin, successors and assigns, hereby RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE Releasee for any and all Claims arising out of or related to Participant's participation in the Activity, including Claims arising from the negligence of Releasee. This Release and Waiver is intended to be broad and inclusive and shall apply to all Claims whether arising before, during, or after the Activity.

4. INDEMNIFICATION

Participant agrees to defend, indemnify, and hold harmless Releasee from and against any and all Claims brought by third parties arising out of or connected to Participant's acts or omissions in connection with the Activity, including reasonable attorneys' fees and costs incurred by Releasee in the defense of any such Claim.

5. MEDICAL CONSENT AND INSURANCE

Participant represents that Participant is physically fit and capable of participating in the Activity. Participant authorizes Releasee to obtain emergency medical treatment for Participant if Releasee determines, in its discretion, that such treatment is necessary. Participant is responsible for all costs associated with medical care and transportation. Participant acknowledges that Releasee does not carry medical insurance for Participant.

6. REPRESENTATIONS; COMPLIANCE

Participant represents and warrants that all information provided to Releasee is true and complete and that Participant will comply with all rules, instructions, and safety protocols established by Releasee. Participant agrees to immediately notify Releasee of any hazardous condition or unsafe practice observed during the Activity.

7. MINORS

If Participant is a minor, the parent or legal guardian must complete the following fields and acknowledges that by signing below the parent/guardian executes this Agreement on behalf of the minor Participant and agrees to all terms, including the Release and Indemnification clauses.

8. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement must be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

9. AMENDMENTS; WAIVER; SEVERABILITY

No amendment or modification of this Agreement will be effective unless in writing and signed by both parties. No waiver of any breach will constitute a waiver of any other or subsequent breach. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect and such invalid or unenforceable provision will be replaced by a valid and enforceable provision that most closely reflects the parties' intent.

10. GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties, whether written or oral.

12. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which will be deemed an original and all of which together will constitute one and the same instrument. Electronic signatures and scanned or photographic copies of signatures will be treated as original signatures for all purposes.
