LIABILITY WAIVER AND SERVICE AGREEMENT

RECITALS

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least Notice Period: days prior to termination. Termination for cause is permitted for material breach if the breaching party fails to cure within thirty (30) days after written notice.

CONFIDENTIALITY

Each party shall hold in confidence and shall not disclose any Confidential Information of the other party, except as required by law. "Confidential Information" means nonpublic business, technical, financial or other information designated as confidential or that reasonably should be understood to be confidential. Confidentiality obligations survive termination of this Agreement for a period of three (3) years.

LIABILITY WAIVER, ASSUMPTION OF RISK, AND INDEMNIFICATION

In consideration of being permitted to participate in the activity and to use the facilities, equipment or services provided by the Provider, Participant hereby acknowledges and agrees as follows:

1. Release: Participant releases, waives, discharges and covenants not to sue Provider, its officers, directors, employees, agents, contractors and volunteers (collectively, Released Parties) from any and all liability, claims, demands, actions or causes of action for bodily injury, death or property damage arising out of or related to Participant’s participation, whether caused by the negligence of the Released Parties or otherwise, to the fullest extent permitted by law.

2. Assumption of Risk: Participant understands that activities involve inherent risks including risk of serious injury and death. Participant knowingly and voluntarily assumes all risks, whether known or unknown, foreseeable or unforeseeable, arising from participation in the activities.

3. Indemnification: Participant agrees to indemnify, defend and hold harmless the Released Parties from and against any loss, liability, damage, cost or expense (including reasonable attorneys' fees) incurred as a result of any third-party claims arising out of Participant’s acts or omissions or breach of this Agreement.

4. No Reliance; Fitness: Participant affirms that Participant is physically and mentally able to participate and has not relied upon any oral or written representation by Provider except as expressly set forth herein.

INSURANCE AND MEDICAL

Participant authorizes Provider to obtain emergency medical treatment for Participant if deemed necessary, and Participant agrees to be financially responsible for such treatment. Participant should list known medical conditions, allergies, or medications below:

REPRESENTATIONS AND WARRANTIES

Participant represents and warrants that Participant is at least 18 years of age or, if a minor, that Participant's parent or legal guardian has signed this Agreement on Participant's behalf. Participant agrees to comply with all rules, instructions and safety guidelines provided by Provider.

GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

If any provision of this Agreement is found to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior or contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

ACKNOWLEDGMENT AND CONSENT

By signing below, Participant acknowledges that Participant has read this Agreement in its entirety, understands its terms, and voluntarily accepts the stated risks and obligations. Participant further certifies that all information provided on this form is true and complete.
