RECITALS

WHEREAS, Participant desires to take part in the activity or services described below and acknowledges that participation may involve risk of personal injury, property damage or death; and

WHEREAS, Provider (the entity offering the activity or services) agrees to permit Participant to participate subject to the terms and conditions set forth in this Waiver and Release; and

WHEREAS, the parties intend by this instrument to allocate the risks of participation and to define their legal rights and obligations in the event of loss or injury.

ASSUMPTION OF RISK

Participant acknowledges that the activity involves inherent risks which may result in property damage, personal injury, illness, or death. Participant freely and voluntarily assumes all risks, known and unknown, foreseeable and unforeseeable, arising from or related to participation in the activity, including, but not limited to, risks associated with equipment failure, negligence of others, weather, and travel to and from the activity.

WAIVER AND RELEASE OF LIABILITY

In consideration of being permitted to participate, Participant, on behalf of Participant and Participant's heirs, assigns, personal representatives and next of kin, hereby forever releases, waives, discharges and covenants not to sue Provider, its affiliates, officers, directors, employees, contractors, volunteers and agents (collectively, Releasees) from any and all claims, liabilities, damages, losses, costs or expenses, including attorneys' fees, arising out of or related to Participant's participation, whether caused by the negligence of the Releasees or otherwise, to the fullest extent permitted by law.

INDEMNIFICATION

Participant agrees to defend, indemnify and hold harmless the Releasees from and against any and all claims, demands, suits, liabilities, losses or damages (including reasonable attorneys' fees) asserted by third parties arising out of or resulting from Participant's negligent or intentional acts or omissions in connection with the activity.

MEDICAL AUTHORIZATION / EMERGENCY CONTACT

Participant authorizes Provider to obtain emergency medical care on Participant's behalf if Provider reasonably determines such care is necessary and Participant is unable to consent. Participant is responsible for all costs of such treatment.

Either party may terminate this agreement for any reason by providing written notice to the other party at least prior to the effective termination date. Termination does not relieve Participant of payment obligations accrued prior to termination or of obligations that by their nature survive termination.

CONFIDENTIALITY

Participant and Provider agree that any non-public proprietary information disclosed by either party in connection with the activity shall be held in confidence and not disclosed to third parties, except as required by law, excepted by prior written consent, or as necessary to provide the services described herein.

GOVERNING LAW

This Waiver and Release shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

ENTIRE AGREEMENT; SEVERABILITY

This document constitutes the entire agreement between Participant and Provider with respect to the subject matter herein and supersedes all prior agreements and understandings. If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.
