LIBRARY SERVICES AGREEMENT

This Library Services Agreement ("Agreement") is made effective as of by and between Library Name: and Service Provider Name: .

WHEREAS

WHEREAS, the Library operates public library facilities and requires professional services to support library operations, collections, programs, and patron services; and

WHEREAS, the Service Provider represents that it has the skill, expertise, personnel, equipment and licenses necessary to perform the services described in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Service Provider will provide such services to the Library.

1. SCOPE OF WORK

The Service Provider shall perform the services and deliver the deliverables described below in a professional manner consistent with industry standards. The Scope of Work shall include, at minimum, the tasks, deliverables, timelines, performance standards, staffing assignments, and acceptance criteria necessary for the Library to utilize the services.

2. PAYMENT TERMS

In consideration for the services performed under this Agreement, the Library shall pay the Service Provider in accordance with the terms set forth below. All payments shall be made in United States dollars unless otherwise agreed in writing.

All invoices shall itemize services and approved expenses. The Library may withhold payment for work that does not conform to the agreed Scope of Work until corrected. Reimbursable expenses must be pre-approved in writing by the Library.

3. TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written Notice Period: to the other party. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure within Cure Period: after receipt of written notice describing the breach.

Upon termination for any reason, the Service Provider shall deliver all completed work and any work in progress and shall deliver any records or materials belonging to the Library. The Library shall pay for services satisfactorily performed through the effective date of termination.

4. CONFIDENTIALITY

The Service Provider shall keep confidential all non-public information obtained from the Library in connection with performance of services ("Confidential Information") and shall not disclose such information except to its employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth in this Agreement. Confidential Information does not include information that (a) is or becomes generally available to the public through no fault of the receiving party, (b) was known to the receiving party prior to disclosure by the disclosing party, or (c) is independently developed by the receiving party without use of Confidential Information.

The obligations of confidentiality survive termination of this Agreement for a period of five (5) years, or longer where required by applicable law with respect to personal data or protected records.

5. INSURANCE; INDEMNIFICATION; LIMITATION OF LIABILITY

The Service Provider shall maintain, at its expense, insurance appropriate to the services provided, including commercial general liability and professional liability coverage with limits customary for the services and naming the Library as an additional insured where applicable. The Service Provider agrees to indemnify, defend and hold harmless the Library and its officers, employees and agents from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from the negligent acts or omissions or willful misconduct of the Service Provider in the performance of services under this Agreement, except to the extent caused by the Library's own negligence or willful misconduct.

Except for liability arising from gross negligence, willful misconduct or indemnification obligations, neither party shall be liable to the other for incidental, consequential, special or punitive damages arising out of or relating to this Agreement or the performance of services.

6. DATA PROTECTION AND RECORDS

The Service Provider shall comply with all applicable laws and Library policies regarding privacy, the protection of patron records, and retention of records. The Service Provider shall not access, use or disclose patron records except as required to perform the services, and shall implement reasonable administrative, technical and physical safeguards to protect personal information.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

8. ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits, attachments, and mutually executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

9. NOTICES

All notices, requests, demands and other communications required or permitted hereunder shall be in writing and shall be delivered to the contacts set forth below by hand, certified mail (return receipt requested), or nationally recognized courier service.

10. MISCELLANEOUS PROVISIONS

Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that the Service Provider may assign to a successor in connection with a merger or sale of substantially all of its assets so long as the assignee assumes the Service Provider's obligations hereunder in writing. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The parties acknowledge that the Service Provider is an independent contractor and not an employee, agent or partner of the Library. The Service Provider shall be responsible for all taxes and withholdings arising from compensation paid to the Service Provider under this Agreement.
