LICENSE REGISTRATION DISC AGREEMENT

This License Registration Disc Agreement (the "Agreement") is entered into as of by and between Registrant Name: and Issuer Name: .

WHEREAS

WHEREAS, Registrant desires to procure from Issuer a physical license registration disc and related registration services for the vehicle described herein; and

WHEREAS, Issuer is duly authorized and capable to produce, encode, and supply license registration discs in accordance with the specifications and standards agreed by the parties; and

WHEREAS, the parties wish to set forth the terms under which Issuer will manufacture, register, deliver, and, where applicable, replace the license registration disc for the Registrant's vehicle.

SCOPE OF WORK

Issuer shall produce and deliver a single License Registration Disc conforming to the specifications below, perform registration encoding where required, and provide one original disc and one digital record to Registrant. Work includes quality inspection, affixation guidance, and limited replacement services as set forth in this Agreement.

PAYMENT TERMS

Registrant shall pay Issuer the fees set forth below for the manufacture, registration, and delivery of the license registration disc.

All fees are payable in cleared funds. Issuer may suspend delivery or refuse issuance of the disc for any unpaid amounts after ten (10) days' written notice.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other if the breach is not cured within the notice period set forth above. Termination shall not relieve Registrant of payment obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information to any third party except as required by law or with the disclosing party's prior written consent. Confidential information includes, but is not limited to, proprietary production specifications, registration encoding data, and payment information.

The obligations of confidentiality survive termination or expiration of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for as long as they meet the legal definition of a trade secret.

WARRANTIES AND LIMITATION OF LIABILITY

Issuer warrants that the license registration disc will materially conform to the specifications described in this Agreement at the time of delivery. Issuer's sole obligation for breach of this warranty shall be limited to replacement of the disc or refund of the disc fee, at Issuer's option. Except as stated herein, the disc is provided "as is" and Issuer disclaims all other warranties.

In no event shall either party be liable for indirect, incidental, special, or consequential damages, nor for loss of profit, even if advised of the possibility of such damages. The aggregate liability of Issuer for direct damages arising out of or relating to this Agreement shall not exceed the total fees paid by Registrant to Issuer under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all schedules and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Issuer may assign to an affiliated entity or in connection with a merger or sale of substantially all of its assets.

Notices: All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party designates by notice in accordance with this paragraph.
