WHEREAS

WHEREAS, Licensee is the holder of License Number issued by Licensor, which is scheduled to expire on (the "Original Expiration Date");

WHEREAS, Licensee has requested an extension of the Original Expiration Date for the purpose of completing renewal requirements and has submitted the written request dated , and Licensor is willing to grant a limited extension on the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

SCOPE OF EXTENSION

Licensor hereby grants Licensee a limited extension of the Original Expiration Date solely for the purpose of completing the renewal application, submitting required documentation, and paying any fees required for renewal. Licensee shall complete the renewal process in accordance with the terms described below and any applicable regulatory requirements.

PAYMENT TERMS

In consideration for the extension, Licensee shall pay Licensor an extension fee and any applicable renewal fees as set forth below. All payments shall be made in lawful currency and are non-refundable except as expressly provided in this Agreement.

TERM AND TERMINATION

This extension commences on and shall continue for a period of months, such that the new expiration date shall be , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party upon written notice delivered at least days prior to the effective termination date, provided the breaching party fails to cure the breach within the stated notice period. Termination shall not relieve Licensee of any payment obligations accrued prior to termination.

CONFIDENTIALITY

The parties acknowledge that in the course of administering and performing under this Agreement they may exchange Confidential Information. "Confidential Information" means non-public information disclosed in connection with this Agreement, whether oral or written, that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees to hold Confidential Information of the other in strict confidence, to use it solely to perform obligations under this Agreement, and not to disclose it to third parties except (i) as required by law or regulation, (ii) to the party's legal or financial advisors under confidentiality obligations, or (iii) with the disclosing party's prior written consent. The obligations in this paragraph survive termination or expiration of this Agreement for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where Licensor is located, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for resolution of any dispute arising out of or related to this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, representations, and understandings, whether written or oral. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
