LICENSE SURRENDER AGREEMENT

This License Surrender Agreement (the "Agreement") is made as of by and between Licensor: , a Corporation LLC Individual, with principal address ; and Licensee: , a Corporation LLC Individual, with principal address .

RECITALS

WHEREAS, Licensor granted to Licensee a certain license (the "Licensed Rights") described as: , pursuant to a written agreement dated ; and

WHEREAS, the parties have agreed that Licensee shall surrender all Licensed Rights and any related materials to Licensor and that the parties desire to set forth the terms and conditions governing such surrender.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Agreement" means this License Surrender Agreement and all exhibits attached hereto. "Effective Date" means the date first written above. "Surrendered Materials" means all tangible and intangible materials, documentation, source code, know-how, data, and copies thereof that pertain to the Licensed Rights.

2. SURRENDER OF LICENSE

2.1 Surrender. Licensee hereby irrevocably surrenders, assigns, and transfers to Licensor all of Licensee's right, title and interest in and to the Licensed Rights as of the Effective Date, and shall cease all use, exploitation, distribution and sublicensing of the Licensed Rights.

2.2 Delivery. Within days of the Effective Date, Licensee shall deliver to Licensor all Surrendered Materials and provide reasonable written confirmation that no copies of such materials remain in Licensee's possession or control.

3. CONSIDERATION

3.1 Payment. In consideration for the surrender described in Section 2, Licensor shall pay Licensee the sum of $ payable in accordance with the schedule set forth below.

4. REPRESENTATIONS AND WARRANTIES

4.1 Licensor. Licensor represents and warrants that: (a) it has full corporate or individual power and authority to enter into and perform this Agreement; (b) it has the legal capacity to accept the surrendered Licensed Rights; and (c) to Licensor's knowledge, there are no outstanding liens, encumbrances, or third-party rights that would impair Licensor's ability to accept the surrender.

4.2 Licensee. Licensee represents and warrants that: (a) it has full authority to surrender the Licensed Rights; (b) the Licensed Rights being surrendered are, to Licensee's knowledge, free of encumbrances created by Licensee; and (c) Licensee will not continue to exercise any rights under the surrendered license after the Effective Date.

5. RELEASE

5.1 Mutual Release. Upon full performance of the obligations set forth in this Agreement and receipt of the consideration described in Section 3, each party hereby releases and forever discharges the other party and its officers, directors, employees, agents and affiliates from any and all claims, demands, liabilities, causes of action and damages arising out of or relating to the Licensed Rights and the prior license between the parties, whether known or unknown, except for claims arising from a breach of this Agreement.

6. CONFIDENTIALITY

6.1 Confidentiality Obligation. The parties agree that the existence of this Agreement, the terms hereof, and any confidential information exchanged in connection with the surrender shall be kept confidential and shall not be disclosed to any third party except as required by law or as necessary to enforce the terms of this Agreement.

7. INDEMNIFICATION

7.1 Indemnities. Each party (the "Indemnitor") shall indemnify, defend and hold harmless the other party (the "Indemnitee") from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of the Indemnitor's representations, warranties or covenants contained in this Agreement.

8. TRANSITION ASSISTANCE

8.1 Assistance. Licensee shall provide reasonable transition assistance to Licensor for a period of days following the Effective Date, limited to activities reasonably necessary to effect the surrender and transfer of Surrendered Materials.

9. TAXES

9.1 Allocation of Taxes. Any transfer, sales, use, value-added or similar taxes, if any, arising from the transactions contemplated by this Agreement shall be allocated and borne as follows: .

All notices, requests and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate in writing.

11. MISCELLANEOUS

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified as: , without regard to conflicts of law principles.

11.2 Entire Agreement. This Agreement constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written.
