LICENSE UPSELL AGREEMENT

This License Upsell Agreement (the Agreement) is entered into as of by and between Licensor Name: and Licensee Name: .

RECITALS

WHEREAS, Licensor is the owner or authorized distributor of certain software and/or services described below and has the right to grant additional user licenses, modules, or features for commercial use; and

WHEREAS, Licensee currently holds an existing license agreement with Licensor and desires to acquire additional licenses, seats, or upgraded functionality (the Upsell) under the terms set forth in this Agreement; and

WHEREAS, the parties desire to document the scope, consideration, term, and other material terms governing the Upsell.

SCOPE OF WORK

Licensor shall deliver the Upsell described below and shall provide reasonable implementation support as specified. The parties acknowledge that the Upsell modifies or supplements the parties' existing license arrangement only to the extent expressly set forth herein.

LICENSE GRANT AND DELIVERABLES

Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the Upsell items solely for Licensee's internal business purposes, subject to the terms of this Agreement and the underlying license agreement. The Upsell includes the following additional license rights or features:

PAYMENT TERMS

In consideration for the Upsell, Licensee shall pay Licensor the fees set forth below in U.S. Dollars. All amounts are due in accordance with the schedule below and subject to late payment charges as stated.

All fees are exclusive of taxes. Licensee shall be responsible for all taxes, duties, and levies imposed by any governmental authority, excluding taxes on Licensor's net income.

TERM AND TERMINATION

The term of this Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party upon written notice if the breach remains uncured for a period of thirty (30) days following written notice specifying the breach. Licensor may suspend access to Upsell deliverables if Licensee fails to pay undisputed fees within ten (10) days after written notice of nonpayment.

CONFIDENTIALITY

Each party (Recipient) agrees to maintain in confidence Confidential Information disclosed by the other party (Discloser) and to use such information only for the purposes of performing obligations under this Agreement. Confidential Information includes non-public business information, technical data, trade secrets, customer lists, pricing, and any information identified as confidential at disclosure.

The confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall remain confidential for as long as they qualify as trade secrets under applicable law.

LIMITATION OF LIABILITY

Except for willful misconduct or breaches of confidentiality, neither party shall be liable for consequential, incidental, indirect, special, or punitive damages. Each party's aggregate liability arising from or relating to this Agreement shall not exceed the fees paid by Licensee to Licensor under this Agreement in the twelve (12) months preceding the claim.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand, certified mail, or nationally recognized courier service, and shall be effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any referenced attachments and the parties' underlying license agreement, constitutes the entire agreement between the parties with respect to the Upsell and supersedes all prior understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any other or subsequent breach. The parties are independent contractors and nothing in this Agreement creates an agency, partnership, or employment relationship.
