LICENSING AGREEMENT ADDENDUM

This Licensing Agreement Addendum ("Addendum") is made as of Effective Date: by and between Licensor Name: with principal place of business at Licensor Address: (Licensor), and Licensee Name: with principal place of business at Licensee Address: (Licensee). This Addendum amends the Licensing Agreement dated Original Agreement Date: (the "Agreement").

RECITALS

WHEREAS, Licensor is the owner of certain intellectual property, including copyrights, trademarks and related proprietary rights, and has granted Licensee certain rights under the Agreement with respect to such intellectual property; and

WHEREAS, the Parties desire to amend the Agreement to modify the license grant, payment terms, and related provisions as set forth in this Addendum; and

WHEREAS, capitalized terms used but not defined in this Addendum shall have the meanings given in the Agreement unless otherwise specified herein.

NOW, THEREFORE, in consideration of the foregoing and the mutual covenants contained herein, the Parties agree as follows:

1. Definitions

Except as expressly amended by this Addendum, all defined terms used herein shall have the meanings given to them in the Agreement. For purposes of this Addendum, the following additional definitions apply:

"Addendum Effective Date" means the Effective Date set forth above.

2. Amendment to License Grant

The Parties agree that Section(s) of the Agreement identified below are amended as set forth. Any provision of the Agreement that conflicts with the amended language below is superseded by this Addendum to the extent of such conflict.

3. Term; Termination

Except as expressly modified by this Addendum, the term of the Agreement shall continue in full force and effect. Notwithstanding anything to the contrary in the Agreement, the Parties agree that the term is modified as follows: New Term Commencement Date: and New Termination Date: . All termination rights, cure periods and obligations that survive termination shall remain in effect as provided in the Agreement.

4. Consideration and Payment

In consideration for the amendments set forth in this Addendum, Licensee shall pay Licensor the additional fees described below in accordance with the payment terms set forth herein.

5. Intellectual Property; Reservation of Rights

Except for the limited rights expressly granted in the Agreement as amended by this Addendum, Licensor retains all right, title and interest in and to the Licensed Materials and all associated intellectual property rights. Licensee acquires no ownership interest in any Licensor intellectual property. Any goodwill arising from Licensee's use of Licensor marks inures solely to Licensor's benefit.

6. Confidentiality

The Parties acknowledge that certain information disclosed under the Agreement and this Addendum is confidential. The confidentiality obligations in the Agreement shall apply to any confidential information disclosed pursuant to this Addendum and shall survive termination or expiration of the Agreement for the period specified therein.

7. Representations; Authority

Each Party represents and warrants that (a) it has full power and authority to enter into this Addendum and to perform its obligations hereunder, (b) the execution and delivery of this Addendum has been duly authorized by all necessary corporate or organizational action, and (c) when executed and delivered by such Party, this Addendum constitutes a valid and binding obligation enforceable in accordance with its terms.

8. Indemnification

Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors, employees and agents from and against any and all losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of any third‑party claim alleging breach of this Addendum, breach of representations or warranties, or infringement of any intellectual property rights resulting from the indemnifying Party's acts or omissions.

9. Limitation of Liability

Except for liability arising from a Party's gross negligence, willful misconduct, or breach of its confidentiality or indemnification obligations, neither Party shall be liable to the other for any incidental, consequential, special or punitive damages, and the Parties' aggregate liability under the Agreement as amended by this Addendum shall be limited to the amount of fees actually paid by Licensee to Licensor under this Addendum during the twelve (12) months preceding the claim.

10. Notices

All notices required or permitted under this Addendum shall be in writing and delivered in accordance with the notice provisions of the Agreement. For convenience, the Parties' notice contacts for this Addendum are listed below:

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising under this Addendum.

12. Entire Agreement; Severability

Except as expressly modified by this Addendum, the Agreement remains in full force and effect. This Addendum, together with the Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings relating thereto. If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Amendments; Waiver; Counterparts

This Addendum may be amended or modified only by a writing signed by authorized representatives of both Parties. No waiver of any provision shall be effective unless in writing and signed by the Party waiving compliance. This Addendum may be executed in counterparts, each of which shall be deemed an original, and facsimile, electronic or scanned signatures shall be binding for all purposes.

14. Effect on Agreement

Except as expressly modified by this Addendum, all terms, covenants and conditions of the Agreement shall remain unchanged and in full force and effect. To the extent any inconsistency exists between the Agreement and this Addendum, the terms of this Addendum shall control.
