Intellectual Property and Ownership

Licensor retains all right, title and interest in and to the Licensed Materials and all intellectual property rights therein, subject only to the license expressly granted herein. Licensee shall not remove, alter or obscure any proprietary notices or markings on the Licensed Materials.

Representations, Warranties and Indemnification

Each party represents and warrants that it has full power and authority to enter into this Agreement. Licensor warrants that, to the best of its knowledge, it has the right to grant the license provided and that the Licensed Materials do not infringe third-party intellectual property rights. Licensee shall indemnify, defend and hold harmless Licensor from and against any third-party claims arising from Licensee's use of the Licensed Materials in violation of this Agreement, subject to the limitations set forth herein.

Indemnity Cap: The total liability of each party for claims arising out of this Agreement shall not exceed except for claims arising from willful misconduct or gross negligence.

Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM BREACH OF CONFIDENTIALITY, INFRINGEMENT CLAIMS OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE GREATER OF THE AMOUNTS PAID OR PAYABLE BY LICENSEE UNDER THIS AGREEMENT IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Audit Rights

Licensor may, upon reasonable prior notice and not more than once per calendar year, audit Licensee's records relevant to royalties or other payments due under this Agreement. Audits shall be conducted during normal business hours, and any underpayment revealed by such audit shall be promptly paid by Licensee together with interest at the rate set forth in this Agreement.

Assignment

Neither party may assign this Agreement without the prior written consent of the other party, except that Licensor may assign to an affiliate or in connection with a sale of substantially all its assets. Any attempted assignment in violation of this provision shall be null and void.

Notices

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in such state for disputes arising out of this Agreement.

Entire Agreement
