WHEREAS

Either party may terminate this Order for material breach by the other party, provided that the non-breaching party gives written notice and a cure period of days to cure the breach. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party shall hold in confidence and shall not disclose to any third party any Confidential Information of the other party disclosed in connection with this Order. Confidential Information includes non-public technical, commercial and financial information, proprietary materials, trade secrets and information marked or identified as confidential. Confidentiality obligations shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

INTELLECTUAL PROPERTY

Licensor retains all right, title and interest in and to the Licensed Materials, including all patents, copyrights, trade secret rights and other intellectual property rights therein, except for the rights expressly granted to Licensee in this Order. Licensee shall not challenge Licensor's ownership or take any action inconsistent with Licensor's ownership rights.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Order, negligence, willful misconduct or infringement of third party intellectual property rights in connection with the Licensed Materials supplied by the indemnifying party.

DELIVERY AND ACCEPTANCE

Delivery method and schedule shall be as set forth in the Scope of Work. Licensee shall have days from delivery to inspect and either accept or provide written notice of rejection with specific defects. Failure to timely reject constitutes acceptance.

GOVERNING LAW

This Order shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Any dispute arising under this Order shall be resolved in the courts located in that state unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Order, together with any referenced exhibits or attachments executed by the parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Order without the prior written consent of the other party, except to a successor in interest to substantially all of the assigning party's business and assets to which this Order relates.
